This is a fully remote position, open to applicants in California.

📋 Description

• Act as a vital strategic advisor to executive leadership while spearheading corporate development initiatives.

• Report directly to the Chief Executive Officer.

• Lead internal deal teams throughout all stages of buy-side and sell-side GovCon transactions.

• Oversee complex transactions from initiation through to integration.

• Prepare and present M&A transaction summaries, legal risk assessments, and financial exposure details to the C-Suite.

• Evaluate target companies’ federal contract portfolios for DFARS compliance, subcontracting plans, and industrial security requirements.

• Draft, coordinate, and submit intricate novation agreement packages to Administrative Contracting Officers.

• Collaborate with the Executive Team, Corporate Development, and Business Unit leaders to evaluate strategic alignment and regulatory risks.

• Direct and manage external law firms and specialized GovCon consultants.

• Convert complex legal risks into actionable business intelligence to facilitate strategic decision-making.

• Oversee deal velocity, ensure accuracy in executive reporting, uphold post-closing regulatory compliance, manage novation success, and control outside counsel expenditures.


⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school.

• Active member in good standing with a state bar.

• Eligible for local In-House Counsel Licensure if relocating.

• 8 to 12+ years of corporate transactional experience.

• Initial training at a major law firm ("BigLaw").

• Significant corporate in-house experience at a large federal contractor.

• Advanced proficiency in the Federal Acquisition Regulation (FAR).

• Familiarity with Small Business Administration (SBA) size affiliation rules.

• Understanding of Cost Accounting Standards (CAS).

• Knowledge of organizational conflicts of interest (OCI).

• Capability to obtain or maintain an active U.S. Security Clearance (Secret or Top Secret).

• Post-employment ethics letter required if recently employed by the U.S. government and offered employment.
