This is a fully remote position, open to applicants in United Kingdom.
• Prepare, assess, and negotiate a large volume of commercial agreements, including SaaS subscription contracts, MSAs, order forms, DPAs, reseller/channel partner agreements, and vendor/procurement contracts.
• Engage in negotiations for customer-initiated security exhibits, AI provisions, IT security policies, and audit/right-to-audit clauses.
• Provide guidance on UK GDPR, the Data Protection Act 2018, and cross-border data transfer mechanisms such as the UK IDTA and EU SCCs.
• Collaborate with Sales and Deal Ops to structure and finalize enterprise agreements that address pricing, liability caps, indemnities, service levels, and termination conditions.
• Oversee the flow-down obligations of subcontractors and vendors.
• Enhance and maintain contract templates, playbooks, fallback positions, and internal negotiation protocols.
• Assist GTM, Customer Success, DealOps, InfoSec, Finance, and Product teams with contract interpretation, compliance inquiries, and dispute resolution avoidance.
• Monitor and report on contracting trends, redline patterns, and recurring issues to guide updates to templates and policies.
• Support procurement legal matters involving SaaS and cloud vendor agreements, software licensing, and IT service contracts.
• Collaborate on departmental process enhancements and general legal projects.
• Qualified solicitor in England & Wales (or an equivalent UK jurisdiction), currently in good standing with the SRA (or relevant regulatory body).
• Generally, 7+ years of post-qualification experience required for Senior Commercial Counsel.
• Significant in-house or law firm experience in technology/commercial transactions.
• Proven experience in drafting and negotiating SaaS/technology commercial agreements, including MSAs, order forms, DPAs, and vendor contracts.
• Familiarity with GDPR, UK GDPR, and international data protection frameworks in commercial contracts.
• Experience in negotiating customer information security requirements, AI provisions, data usage rights, audit rights, and vendor risk/security exhibits in a multi-tenant SaaS context.
• Strong commercial acumen with the ability to evaluate and articulate risk to non-legal stakeholders.
• Exceptional drafting, negotiation, and communication skills.
• Capacity to manage a high-volume deal pipeline while under time constraints.
• Experience contributing to cross-functional process improvement initiatives and legal department projects.
• Preferred: experience within a high-growth or publicly traded SaaS organization, especially with regulated or enterprise clients.
• Preferred: knowledge of export control, sanctions screening, and anti-bribery/anti-corruption considerations.
• Preferred: familiarity with procurement/vendor management and subcontractor flow-down frameworks.
• Preferred: experience in supporting M&A due diligence or corporate transactions from a commercial contract viewpoint.
• Preferred: awareness of EU data protection law, U.S. privacy law such as CCPA, or other multi-jurisdictional privacy frameworks.
