This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate customer Master Service Agreements (MSAs), order forms, Data Processing Agreements (DPAs), and amendments, including redline revisions with public and private higher education institutions and their legal representatives.
• Oversee multiple negotiations simultaneously, prioritizing based on deal value, urgency, and associated risks.
• Evaluate and negotiate terms with resellers, integration partners, and data and technology service providers.
• Develop and maintain standard templates, fallback strategies, and an approval framework.
• Identify and address terms in state and public institution documents, including mandatory systemwide or state-specific provisions.
• Ensure compliance with FERPA, state student data privacy regulations, and GDPR in customer contracts and internal data management.
• Provide guidance on digital accessibility requirements, including ADA Title II, Sections 504 and 508 of the Rehabilitation Act, WCAG 2.1 AA, and state-specific regulations.
• Track subprocessor agreements and guarantee that DPAs are executed and kept up-to-date.
• Stay informed and provide advice on new state AI regulations that may affect the product.
• Lead the evaluation of cyber and other insurance renewal applications in collaboration with the Finance team and the Chief Technology Officer (CTO).
• Assist in assessing and documenting risk exposure on significant or atypical deals for executive approval.
• Manage potential customer disputes and escalate issues to external litigation counsel when necessary.
• Handle responses to public records and Freedom of Information Act (FOIA) requests from state institution clients.
• Offer counsel on employment issues in partnership with People Operations.
• Manage the Proprietary Information and Invention Agreement program.
• Support board resolutions, corporate secretary filings, and Economic Disclosure Statements.
• Collaborate with external legal advisors on structuring, mergers and acquisitions (M&A), and financing activities.
• Report directly to the Chief Financial Officer (CFO) within the Finance & Strategy team, and work closely with the Chief of Staff, IT, People Operations, Sales, and Accounting.
• Juris Doctor (J.D.) degree and an active legal license to practice in at least one U.S. state.
• Between 5 to 10 years of experience in commercial or contracts law.
• Preferably, in-house experience at a B2B SaaS organization or within a law firm’s commercial practice serving SaaS clients.
• Proven track record of negotiating MSAs, DPAs, and enterprise SaaS agreements, especially with public sector or higher education clients.
• Familiarity with FERPA, state privacy regulations, and GDPR.
• Ability to function as a generalist and manage a high volume of concurrent tasks with minimal legal team support.
• Excellent written and verbal communication skills, with the capability to convey legal risks in straightforward language for non-legal stakeholders.
• Experience in higher education technology, EdTech, or other regulated SaaS sectors is a plus.
• Knowledge of insurance and cyber-coverage review and renewal processes is beneficial.
• Experience with governance and reporting in private equity-backed companies is advantageous.
