This is a fully remote position, open to applicants in Maryland.
• Act as a senior leadership team member, directly reporting to the CEO.
• Provide counsel to the CEO and executive team regarding enterprise legal matters and contract risks.
• Oversee the review and negotiation of contracts and legal agreements.
• Collaborate with external legal counsel on compliance and contract-related issues.
• Supervise MBE/VSBE goal compliance, contract renewals, CPI increases, and manage insurance and bonding programs.
• Manage change orders and lead the contract management team.
• Conduct RFP reviews focusing on risk, bonding/insurance compliance, contract exceptions, and necessary submission forms.
• Assist in proposal development and facilitate the business-development-to-delivery process.
• Handle mandatory contract reporting, revenue tracking, and usage fee payments.
• Provide guidance on mitigating organizational conflicts of interest.
• Lead the development and negotiation of SITCH Software license agreements.
• Ensure compliance with corporate legal status, operating agreements, state licensing, and legal policies.
• Support HR, cybersecurity, and business development with legal inquiries.
• Manage litigation, claims, government disputes, and bid protests in coordination with outside counsel.
• Offer advice on False Claims Act exposure and government representations.
• Counsel on data privacy and cybersecurity regulatory obligations and incident response disclosures.
• Serve as the primary legal advisor on Maryland state and local procurement issues, including COMAR and bid protests.
• Provide legal assistance for employment matters, corporate governance, entity maintenance, and board-related issues.
• Collaborate with the Director of GRC on cybersecurity, privacy, compliance, solicitations, contracts, flow-downs, and third-party assessments.
• Approve CRM opportunity win closures by reconciling records with executed contract documentation.
• Oversee subcontractor legal, compliance, insurance, financial, and certification risk assessments.
• Manage NDAs, subcontracts, and task orders.
• Advise leadership on legal and contract risk appetite and prepare legal/risk updates for ownership or board discussions.
• Bachelor’s degree in business, law, or a related field.
• A Master's degree or JD is preferred.
• Active bar admission in Maryland (or the ability to obtain one within 6 months) and in good standing.
• At least 10 years of experience in a leadership role.
• Demonstrated experience in contract management and negotiations.
• Experience acting as the primary point of contact with government client legal, procurement, or contracting officer counterparts.
• Strong inclination towards Information Technology, Networking, Information Security, and Software-as-a-Service terminology along with related legal/contractual considerations.
• Comprehensive knowledge of contract law, contract drafting, and legal terminology.
• Understanding of legal/contractual risks in State, Local, Federal, Commercial, and Prime contractor engagements involving hardware, software, or service contracts.
• Strong familiarity with FAR regulations.
• Working knowledge of Maryland state and local procurement regulations (COMAR), including the bid protest process.
• Ability to identify, evaluate, and provide advice on legal, contractual, cybersecurity, privacy, and regulatory risks.
• Familiarity with NIST Special Publications, FedRAMP, GovRAMP (formerly StateRAMP), privacy regulations, ethics, and conflicts of interest.
• Capability to handle sensitive and confidential information with discretion.
