Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Ensure that the company's operations comply with relevant international, national, and local laws and regulations.

• Identify, evaluate, and manage legal risks across various jurisdictions.

• Create and uphold policies and procedures aimed at mitigating legal risks.

• Utilize AI-driven compliance monitoring tools to track regulatory changes in real time across jurisdictions, thereby minimizing manual research efforts.

• Draft, review, and negotiate a diverse array of contracts, including commercial agreements, employment contracts, vendor agreements, and partnerships.

• Oversee cross-border transactions and contracts, ensuring adherence to international regulations.

• Maintain AI-supported contract templates and playbooks to standardize and optimize the negotiation process.

• Provide guidance on corporate governance best practices and ensure alignment with board governance frameworks.

• Collaborate with the Finance team and the company’s registered agent to guarantee compliance with all Secretary of State registrations and annual report submissions.

• Support board meetings, resolutions, and associated legal documentation.

• Track changes in international laws and regulations, ensuring timely compliance across all operating regions.

• Design, implement, and maintain the company's internal controls framework to ensure consistent adherence to policies and regulatory obligations.

• Develop security-related policies and compliance frameworks in close collaboration with IT/CISO for implementation and enforcement.

• Manage relationships with regulators and address any regulatory inquiries or investigations.

• Lead compliance risk assessments and report findings to the executive team and board.

• Own and uphold the Company's personal data governance framework.

• Ensure full compliance with GDPR and all relevant global data protection laws (including CCPA, UK GDPR, and other jurisdiction-specific regulations).

• Oversee and manage litigation, arbitration, or disputes, coordinating with external counsel as necessary.

• Protect the company's IP assets by managing global registrations, infringements, and disputes.

• Advocate for the adoption of legal and compliance technology, assessing and implementing AI tools across legal, compliance, and privacy functions.

⛳️ Requirements

• JD, LLB, or an equivalent degree from an ABA-accredited law school.

• Licensed to practice law in at least one U.S. jurisdiction; preference for multi-jurisdictional licensure.

• 5-7 years of experience in a similar capacity, with international exposure in a multinational corporation or law firm.

• Proven experience in a role related to or alongside a Data Privacy Officer, with direct ownership of GDPR compliance.

• Established experience managing internal controls frameworks and regulatory compliance programs (CCO-equivalent experience).

• Strong understanding of international business law, regulations, and best practices.

• Exceptional skills in negotiation, drafting, and communication.

• Strong organizational and project management abilities; capable of managing external counsel and legal budgets.
