This is a fully remote position, open to applicants in California.
• Gain expertise in A.I. tools to enhance efficiencies and expand workflows and capabilities.
• Draft, review, and negotiate various commercial agreements, including master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, services agreements, leases, and joint development agreements.
• Collaborate with sales, procurement, and business teams regarding contract terms, risk distribution, and negotiation strategies.
• Identify, implement, and assess improvements in legal workflows, encompassing templates, automation, and training.
• Stay informed on legal and regulatory changes impacting semiconductor-industry commercial contracting, such as export controls, trade compliance, and IP licensing.
• Provide guidance on data privacy and protection, including data processing agreements and compliance with GDPR, CCPA, and other relevant privacy regulations.
• Assist with SEC reporting and ensuring compliance for public companies.
• Aid in corporate governance, entity management, and subsidiary upkeep.
• Offer legal advice to the People Team and managers regarding daily employment issues.
• Oversee pre-litigation matters and collaborate with external counsel on litigation and government inquiries under senior legal supervision.
• Support the corporate compliance program, including the Code of Business Conduct, anti-corruption/FCPA measures, conflicts of interest, insider trading policies, and employee training initiatives.
• Assist in corporate development and M&A activities, including due diligence, ancillary documentation, and post-closing integration.
• Act as a daily advisor on routine and moderately complex contracting issues and work alongside senior legal team members on intricate, strategic, or non-standard transactions.
• Juris Doctor (J.D.) from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• A minimum of 2-3 years of experience in a law firm (AmLaw 50 or equivalent is preferred).
• Exceptional attention to detail with the capability to manage a high volume of commercial matters concurrently.
• Strong judgment in balancing legal risks with business goals.
• Ability to work autonomously, prioritize effectively, and communicate clearly with non-legal stakeholders.
• Proven experience in general corporate legal matters, or the eagerness to learn and tackle new subject areas.
• Demonstrated commitment to continuous improvement, including identifying inefficiencies in legal or business processes and implementing practical, measurable solutions.
• Proficient in legal technology and process automation, including A.I. tools.
• Proven skills in stakeholder management across sales, procurement, finance, HR, engineering, and executive leadership.
• Capability to provide practical legal counsel to personnel at all organizational levels while respecting cultural differences.
• Outstanding negotiation, client-counseling, interpersonal, and problem-solving abilities.
• Familiarity with semiconductor-specific contract terms and structures, such as IP licensing, equipment, and materials supply and purchase agreements (preferred).
• Minimum of 5 years of relevant experience with a Bachelor’s degree; or 3 years with a Master’s degree; or a PhD without experience; or equivalent work.
