This is a fully remote position, open to applicants in Canada.
• Draft, review, negotiate, and oversee commercial agreements, including contracts for customers, suppliers, services, consulting, confidentiality, software, and technology.
• Deliver prompt and practical legal counsel to business leaders and operational teams.
• Assist with matters related to privacy, data protection, cybersecurity, and information governance.
• Support employment-related issues, including the drafting of employment agreements, workplace policies, accommodations, investigations, and terminations.
• Conduct legal research and provide actionable legal advice for internal stakeholders.
• Aid in regulatory, compliance, and risk management matters.
• Facilitate mergers, acquisitions, business integrations, and other strategic transactions, including legal due diligence and document assessments.
• Collaborate with external counsel on litigation, employment, regulatory, and commercial issues.
• Support corporate governance, maintain corporate records, and manage subsidiaries.
• Review and develop corporate policies and compliance initiatives.
• Identify legal risks and offer pragmatic, business-oriented solutions.
• Assist the General Counsel with special projects and other legal issues as needed.
• Report directly to the General Counsel and closely partner with business leaders across Canada.
• Juris Doctor (JD), Bachelor of Laws (LLB), Licence en droit (LL.L), or an equivalent law degree from an accredited institution.
• Must be a member in good standing with the Law Society of Ontario or the Barreau du Quebec.
• Preference will be given to candidates licensed to practice in both Ontario and Quebec.
• Approximately 2-4 years of post-call legal experience is required.
• Experience in a recognized regional or national law firm is highly preferred.
• Proficiency in drafting and negotiating commercial agreements.
• Background in privacy, data protection, healthcare, employment, technology, or regulatory matters is advantageous.
• Professional working proficiency in both English and French is strongly preferred.
• Strong analytical, drafting, and problem-solving abilities.
• Capacity to identify risks and propose practical solutions.
• A keen intellectual curiosity and eagerness to learn new areas of law.
• Sound commercial judgment.
• Highly organized and detail-oriented.
• Demonstrates initiative and takes ownership of assignments.
• Able to perform effectively in a fast-paced and dynamic environment.
• Capable of managing multiple priorities while upholding high standards of work quality.
• Excellent verbal and written communication skills.
• Ability to engage effectively with executives, business leaders, external counsel, and other stakeholders.
• Bilingualism (English/French) is considered a significant asset.
