This is a fully remote position, open to applicants in United States.
β’ Act as the primary commercial counsel for Rackspace's GPU-as-a-service, bare-metal, and AI infrastructure solutions.
β’ Draft and negotiate product terms, master service agreements, and order forms.
β’ Collaborate with Sales and Sourcing on intricate GPU/AI capacity transactions.
β’ Manage customer-facing sales agreements and supply-side contracts, including capacity reservations, data center colocation, partner agreements, semiconductor manufacturer backstop agreements, and power/infrastructure contracts.
β’ Negotiate innovative commercial structures with chip and hardware suppliers, hyperscalers, and neocloud/GPU providers.
β’ Monitor and provide advice on legal and regulatory matters impacting AI infrastructure and advanced computing items.
β’ Offer guidance on export controls, end-user/end-use screening, deemed exports, RASA, licensing, data sovereignty, and AI-related commercial risks.
β’ Collaborate with the Chief Privacy Officer on issues related to AI training, inference, and customer data privacy.
β’ Support M&A, strategic partnerships, and investment activities involving AI/GPU infrastructure targets or stakeholders.
β’ Serve as RackLaw's internal expert on the GPU/neocloud competitive and regulatory landscape.
β’ Advise Sales Legal, Sourcing, Solutions Counsel, and other practice leaders.
β’ Develop and maintain playbooks, templates, and self-service tools for GPU/AI commercial terms.
β’ Provide business-oriented legal advice that balances deal speed with legal and regulatory risks.
β’ Report to the VP & Deputy General Counsel and collaborate with existing legal practice leads.
β’ J.D. from an ABA-accredited law school.
β’ Active legal license in at least one U.S. jurisdiction, in good standing.
β’ Over 8 years of post-bar experience in commercial and transactional law.
β’ Extensive experience with technology, cloud, or data infrastructure transactions.
β’ In-depth knowledge of commercial contracting for cloud and IaaS/SaaS transactions.
β’ Familiarity with U.S. export control regulations applicable to advanced computing and semiconductor technology, including EAR / BIS / RASA.
β’ Understanding of data privacy and protection regulations related to AI training and inference workloads.
β’ Capability to function as a cross-functional subject-matter expert without direct management authority.
β’ Strong business acumen.
β’ Ability to translate rapidly changing and ambiguous business requirements into actionable legal terms.
β’ Excellent written and verbal communication skills suitable for executive-level interactions.
β’ Independent decision-making skills and the ability to work with minimal supervision.
β’ Preferred prior in-house experience at a hyperscaler, neocloud/GPU cloud provider, semiconductor firm, or AI infrastructure company.
β’ Experience in export control, data privacy, or M&A matters is preferred.
β’ Preferred experience negotiating equipment financing, lease, or offtake agreements.
β’ General knowledge of M&A and strategic transaction structuring is preferred.
