Corporate Counsel

This is a fully remote position, open to applicants in California.

📋 Description

• Collaborate with the Loan Production Team to ensure loans are efficiently perfected across various jurisdictions while providing an exceptional client experience.

• Review, distribute, and at times prepare intricate loan documents, including Loan Agreements, Mortgages, Deeds of Trust, and other related legal instruments.

• Negotiate and finalize loan terms to comply with credit approvals and internal standards; draft supplementary documents such as Subordination Agreements and Corporate Resolutions.

• Prepare, review, and disseminate legal documents, including Loan Discharges, Assignments, Extensions, UCC filings, and other signed instruments.

• Conduct title reviews to verify first lien positions on all loans.

• Coordinate with Title Companies to guarantee accurate recording, filing, and finalization of title policies.

• Work alongside internal teams to meet tight deadlines and ensure seamless loan closings.

• Perform final reviews of all closing document packages.

• Draft and review ad hoc updates or improvements to loan documentation as necessary, escalating issues when suitable.

• Examine borrowing entity documents and validate execution authority.

• Manage a substantial workload independently while ensuring accuracy and attention to detail.

• Assist with cross-departmental legal requirements on an as-needed basis.

⛳️ Requirements

• This position is remote; however, candidates situated in the Pacific Time Zone are highly preferred.

• Juris Doctor (J.D.) degree with 3–5 years of pertinent experience.

• Licensed attorney in good standing with active bar admission in a U.S. jurisdiction; California license is required.

• Experience in closing complex real estate transactions across multiple jurisdictions is strongly preferred.

• Proficiency in reviewing title policies related to residential loan closings is preferred.

• Familiarity with lender documentation and loan packages.

• General understanding of secured transactions and lien priority.

• Outstanding written and verbal communication skills.

• Demonstrated ability to execute with urgency and precision in a deadline-oriented environment.

• Comfortable with adopting and utilizing new technology.

• Ability to excel in a fast-paced, collaborative setting.
