Corporate Counsel

This is a fully remote position, open to applicants in Alabama, +32 more states.

📋 Description

• Deliver thorough legal counsel and support concerning the fiduciary elements of ABB's U.S. operations.

• Direct comprehensive Legal & Integrity fiduciary responsibilities, corporate governance, and compliance for all U.S. legal entities.

• Oversee corporate secretarial services, regulatory submissions, and contractor licensing.

• Counsel the U.S. Country Holding Officer and senior management on governance, compliance, risk management, strategic legal issues, mergers and acquisitions, and license-to-operate requirements.

• Manage integrity investigations, government contracting compliance, data privacy and protection, cybersecurity, and regulatory certifications.

• Ensure consistency with internal audit, HSE, and risk management standards across various business sectors.

• Offer guidance on contracts, commercial agreements, and shared legal entity issues.

• Streamline legal procedures while catering to business-area-specific requirements.

• Oversee paralegal staff.

• Collaborate with global Legal & Integrity centers of excellence on topics related to IP, antitrust, and litigation.

⛳️ Requirements

• Juris Doctorate from a recognized U.S. law school.

• Active bar admission.

• At least 10 years of experience in corporate/commercial law.

• Preferably experience within multinational manufacturing/corporate settings and/or leading law firms.

• Capability to manage fiduciary duties and corporate governance in a decentralized organization.

• Business-oriented legal acumen with experience in process enhancement, risk management, and optimization of legal operations.

• Expertise in contract review, drafting, and negotiation; mergers and acquisitions; and corporate secretarial tasks, including filings and compliance.

• In-depth knowledge of data privacy and protection regulations, U.S. government contracting, contractor licensing, and associated regulatory frameworks.

• Familiarity with finance, treasury, and risk management/insurance.

• Preferred experience in antitrust, intellectual property, and IS/IT-related legal issues.

• Candidates must possess work authorization that allows them to work for ABB in the United States.
