Corporate Attorney, US Company Experience Required

This is a fully remote position, open to applicants in Philippines.

📋 Description

• Oversee the processes and documentation for corporate formations (primary focus for the initial 3-6 months).

• Offer assistance to senior partners on various corporate and business law issues.

• Support mergers and acquisitions activities, encompassing due diligence and documentation assistance.

• Aid in ongoing contract management by tracking, organizing, and maintaining corporate agreements.

• Directly communicate with clients to collect information, provide updates, and respond to legal inquiries.

• Draft and review operating agreements, shareholder agreements, bylaws, and other corporate documents.

• Assist clients with trademark searches, applications, registrations, and related intellectual property concerns.

• Conduct legal research and prepare correspondence, memoranda, and other legal documents.

⛳️ Requirements

• At least three (3) years of experience in corporate and business law matters, which includes business entity formation, corporate governance, contract drafting and negotiation, business transactions, mergers and acquisitions, and general corporate counsel services from either a law firm or an in-house legal setting.

• Previous experience working with a US-based company or law firm is mandatory.

• Strong analytical, legal research, drafting, and negotiation capabilities, with the proficiency to provide practical legal advice and sound business judgment.

• Exceptional written and verbal communication skills, with the ability to professionally manage client relationships and deliver outstanding legal service.

• Self-driven and able to work both independently and collaboratively, with the capacity to manage legal matters from inception to completion autonomously.

• Applicants must be licensed attorneys in good standing.

• Proven career stability with significant tenure in previous positions (measured in years, not short-term roles).

• Experience in trademark registration, enforcement, and other related intellectual property matters.
