This is a fully remote position, open to applicants in New York.
• Create, assess, and negotiate various commercial agreements, such as customer contracts, master services agreements, professional services agreements, subcontracts, teaming agreements, NDAs, vendor agreements, and technology-related contracts.
• Provide guidance on U.S. federal, state, and local government contracting issues, procurement regulations, and contractual obligations.
• Analyze solicitations, RFPs, bids, and government contracts to identify legal, commercial, compliance, and operational risks.
• Offer advice on FAR, DFARS, and other federal and agency-specific regulations.
• Counsel on legal, licensing, registration, and regulatory compliance obligations across various U.S. states.
• Review and negotiate government contract flow-down provisions.
• Ensure compliance with representations and certifications, ethical standards, cybersecurity mandates, recordkeeping, audit rights, and required disclosures.
• Collaborate with Sales, Finance, Operations, Procurement, Information Security, and other internal stakeholders.
• Assist in contract administration, including amendments, change orders, claims, disputes, payment issues, and contract termination matters.
• Enhance contract templates, playbooks, approval workflows, and internal compliance processes.
• Oversee external counsel when necessary.
• Keep track of federal and state legal and regulatory changes and communicate their implications for the business.
• Juris Doctor degree from an accredited law school.
• Licensed and in good standing with at least one U.S. state bar.
• Over 5 years of relevant legal experience, including substantial exposure to commercial law and U.S. government contracting.
• Strong familiarity with federal procurement regulations, including FAR and, ideally, DFARS.
• Experience advising on legal and regulatory compliance obligations across multiple U.S. states.
• Proven track record in negotiating commercial agreements and government-related prime contracts, subcontracts, or teaming agreements.
• Background in the engineering or utilities sector is a plus.
• Experience in infrastructure, construction, technology, defense, or professional services is also beneficial.
• Capability to pinpoint key risks and provide clear, practical, and commercially viable recommendations.
• Excellent drafting, negotiation, analytical, and communication skills.
• Ability to independently manage multiple priorities in a fast-paced, international setting.
• High degree of ownership, sound judgment, attention to detail, and a proactive “get things done” mindset.
• Regular availability during Israeli business hours with considerable overlap in working hours with the Israel time zone.
