📋 Description

• Act as the legal representative for the Commercial team on all commercial agreements involving health systems and life sciences partners.

• Take responsibility for Qualified Health's stance on intellectual property, data, and liability in every commercial contract.

• Lead the legal assessment of value-based and outcomes-based commercial agreements.

• Evaluate life sciences engagements for any potential Anti-Kickback Statute and fair market value risks prior to signing.

• Oversee compliance with contractual obligations for all executed agreements.

• Collaborate with external legal counsel on commercial, regulatory, and compliance issues.

• Work with outside regulatory counsel regarding the classification of devices and software as a medical device (SaMD) and ongoing regulatory inquiries.

• Set expectations for the scope, timeline, and costs associated with outside counsel.

• Develop procedures for commercial legal work from intake through review to signing, including templates, standard positions, and legal approval thresholds.

⛳️ Requirements

• Juris Doctor (JD) degree and active membership in the bar.

• Over 7 years of experience in a legal role within healthcare or life sciences, including significant in-house experience at a similarly situated company.

• Proven experience in negotiating enterprise contracts that cover IP ownership, data usage, and liability terms with health systems, pharmaceutical companies, or other regulated entities.

• Familiarity with the Anti-Kickback Statute, fair market value, and data governance issues in a healthcare or life sciences setting, including managing compliance obligations across a contract portfolio.

• Experience in managing multiple relationships with outside counsel.

• Ability to build legal frameworks from the ground up in a rapidly evolving startup environment.
