This is a fully remote position, open to applicants in California.
• Act as the main legal advisor for the Content, Partnerships, and Business Development teams.
• Draft, evaluate, and negotiate agreements for developers and publishing with third-party studios and content creators.
• Structure and negotiate content licensing and distribution agreements for Play Pass.
• Negotiate licensing agreements for brands and content with partners in entertainment and children's media.
• Provide guidance on strategic partnerships, co-marketing initiatives, and platform integrations.
• Lead intricate multi-party negotiations that involve revenue sharing, joint go-to-market strategies, and cross-promotional agreements.
• Assist with retail, distribution, vendor, and marketing agreements.
• Offer secondary review and negotiation assistance on manufacturing, supply chain, and OEM/ODM agreements.
• Identify and route commercial, product liability, regulatory, and privacy concerns to Product Counsel.
• Foster relationships with teams in Content, Partnerships, Business Development, Product, and Marketing.
• Collaborate with Legal Operations on intake processes, template creation, and CLM workflow design.
• Oversee and coordinate outside counsel for specialized or high-stakes legal matters.
• Utilize AI-driven legal tools for contract review, drafting, and analysis.
• Contribute to the development of templates, policies, training, and the broader legal function.
• Possess a J.D. and maintain an active bar membership in good standing (California or another applicable U.S. state).
• Have 7-10+ years of accumulated experience in both law firm and in-house settings, with significant involvement in supporting a content/media partnerships business.
• Direct experience in negotiating publishing and content licensing agreements.
• Experience in brand and entertainment IP licensing is highly desirable.
• Comprehend partnership economics, including revenue sharing and attribution models.
• Comfortable working in an entrepreneurial setting with limited existing frameworks.
• Proactive, self-sufficient, and motivated by building rather than merely maintaining.
• Communicate effectively with clarity and business acumen.
• Capable of presenting partnership strategies to business executives.
• Exhibit sound judgment in uncertain or rapidly changing environments.
• Willing and able to adapt to commercial, vendor, or hardware-related agreements.
• Display a genuine interest in AI tools and their influence on commercial legal practices.
• Preferred: experience within a gaming or consumer content/media organization.
• Preferred: experience negotiating with entertainment studios, media brands, or licensors of children's content.
• Preferred: working knowledge of children's privacy regulations like COPPA or global data privacy laws.
• Preferred: exposure to hardware, manufacturing, or supply chain agreements.
• Preferred: familiarity with CLM systems such as Spotdraft or Ironclad.
