This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate SaaS subscription contracts, enterprise licensing agreements, order forms, partner and reseller agreements, statements of work (SOWs), and amendments.
• Engage in negotiations for customer and supplier contracts, including master service agreements (MSAs), data protection agreements (DPAs), business associate agreements (BAAs), non-disclosure agreements (NDAs), and professional services contracts.
• Create and sustain contract templates, playbooks, and clause libraries.
• Collaborate with Sales and Customer Success to efficiently close deals while managing associated risks.
• Assume greater responsibilities in areas such as privacy and data protection, product counseling, compliance, commercial dispute resolution, and marketing with go-to-market support.
• Contribute to global privacy compliance initiatives related to GDPR, CCPA/CPRA, emerging U.S. state privacy laws, and AI regulations including the EU AI Act.
• Assist in dispute resolution and offer guidance on contract interpretations, operational compliance, and pre-litigation commercial disputes.
• Serve as a strategic legal partner to internal business units, delivering practical legal advice.
• Work alongside IT/Security, Compliance, and Finance teams on commercial and vendor agreements.
• Conduct legal research and track legislation, regulatory changes, and case law impacting privacy, cybersecurity, AI regulation, open source licensing, and SaaS contracting.
• Collaborate with external legal counsel when required.
• Develop and enforce internal policies and procedures to mitigate legal and operational risks.
• Provide training and guidance on contract processes, data privacy, and compliance obligations.
• Support incident response activities, including data breach notification responsibilities and coordination with Security and Compliance teams.
• Report to the General Counsel and collaborate with Sales, Customer Success, Security, Compliance, and Product teams.
• Safeguard the confidentiality, integrity, and availability of information and systems while adhering to security and privacy policies and standards.
• Juris Doctor (J.D.) from an accredited law institution.
• Active member in good standing with at least one State Bar.
• 3–6 years of legal practice experience, primarily focused on commercial contracts and technology transactions.
• Demonstrated experience in a corporate in-house legal department or law firm's technology/commercial practice group.
• Extensive knowledge of SaaS business models, software licensing, and legal issues pertaining to cloud computing.
• Working understanding of global data privacy, AI, and security frameworks, including the EU AI Act, GDPR, CCPA, and SOC 2.
• Passion for AI, legal technology, and the integration of new tools into legal practice.
• Capacity to balance legal risks with business goals and drive solutions to fruition.
• Outstanding written and verbal communication abilities; skilled at conveying complex legal concepts to non-legal audiences.
• Strong ownership, problem-solving, and organizational capabilities; adept at managing a high volume of contracts under tight timelines.
• Cultural sensitivity and the ability to work effectively across international teams while supporting cross-border commercial agreements in the US, EMEA, and APAC regions.
