This is a fully remote position, open to applicants in Florida.
• Act as a player-coach, balancing a selective personal docket with leading a small, high-performing team.
• Manage entity formation, initial structuring, and essential governance documents.
• Provide guidance on ownership, capital structuring, executive compensation, board operations, corporate authority, and shareholder relations.
• Negotiate agreements related to joint ventures, licensing, distribution, co-marketing, commercial activities, vendors, customers, and SaaS.
• Assist with capital raises, investor diligence, debt financing, credit facilities, secured and unsecured loans, lines of credit, and UCC filings.
• Oversee mergers, acquisitions, business asset sales, and both buy-side and sell-side due diligence.
• Represent both franchisors and franchisees.
• Advise on enterprise risk management, insurance, indemnity, compliance, D&O coverage, data privacy, records retention, incident plans, tax considerations, asset protection, and estate planning alignment.
• Manage crisis corporate actions, restructures, business wind-downs, and dissolutions.
• Conduct weekly team operating meetings, reviewing scorecards, staffing, case mix, SLA health, risks, and priorities.
• Ensure that work distribution and throughput meet utilization and SLA targets.
• Promote the adoption of playbooks, templates, matter plans, technology, checklists, and QA standards.
• Mentor attorneys and paralegals.
• Take ownership of client satisfaction, retention, and expansion across the team portfolio.
• Maintain alignment calls and decision logs.
• Keep a select personal docket focused on high-impact negotiations, governance counseling, and complex structuring.
• Collaborate with Practice Area Managers on data integrity, dashboard health, and early-warning signals.
• Manage personal production alongside aggregate team output, process and technology optimization, client relationships, mentoring, and cross-team handoffs.
• Juris Doctor (JD) degree and active membership in the Florida Bar.
• 7–10+ years of transactional experience demonstrating clear leadership capabilities, including delegation, coaching, and sound judgment.
• Proven history of leading negotiations and closings while managing complex workflows.
• Strong skills in triage, prioritization, and team communication.
• Ability to operate comfortably in a structured, scorecard-driven environment.
• Preferred: experience as the first chair in significant M&A or strategic transactions.
• Preferred: familiarity with multistate, multi-entity, or complex commercial structures.
• Preferred: previous experience as a player-coach or team lead.
