Associate General Counsel, Commercial

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, assess, and negotiate commercial contracts with school districts, municipalities, counties, vendors, consultants, technology providers, and other commercial affiliates.

• Assist with everyday commercial contracting tasks, which include contract revisions, negotiations, amendments, renewals, and internal legal inquiries.

• Aid in public-sector contracting, procurement-related agreements, responses to RFPs, and compliance with governmental contracting regulations.

• Collaborate with sales, operations, finance, procurement, and customer success teams on contract execution and legal processes.

• Recognize legal and commercial risks, escalating higher-risk or non-standard concerns as necessary.

• Interpret and negotiate terms related to indemnification, limitation of liability, insurance, confidentiality, and performance provisions.

• Assist in contract administration and monitoring, including tracking renewal deadlines, contractual obligations, and compliance issues.

• Utilize legal templates, playbooks, and contracting procedures for streamlined agreement evaluation.

• Work alongside senior legal team members on escalated issues, strategic initiatives, disputes, and intricate legal matters.

• Remain updated on trends in commercial contracting, public procurement, and the practices of state and local government contracting.


⛳️ Requirements

• Juris Doctor (JD) degree from a recognized law school.

• Must hold admission to practice law in at least one U.S. jurisdiction.

• Active bar membership in at least one U.S. jurisdiction is required.

• Approximately 5–7 years of pertinent legal experience.

• Proven experience in drafting, reviewing, and negotiating commercial contracts.

• Background in commercial contracting, transactional support, or in-house legal roles is preferred.

• Experience working with public-sector clients, including school districts, municipalities, or government procurement processes is a plus.

• Familiarity with public procurement principles, government contracting requirements, and the structure of commercial agreements is preferred.

• Exceptional organizational skills with the ability to juggle multiple priorities.

• Strong written and verbal communication abilities with a keen eye for detail.

• Capability to collaborate with cross-functional stakeholders while exercising sound legal and business judgment.

• Experience with contract lifecycle management systems and standard legal procedures is preferred.

• Background in supporting technology, transportation, infrastructure, public safety, or operationally complex businesses is advantageous.

• Must be responsive, adaptable, and comfortable handling a high volume of agreements and tight deadlines.

• Must be legally authorized to work in the United States.

• Travel requirements are less than 10%.
