This is a fully remote position, open to applicants in United States.
• Provide support and guidance on commercial legal issues related to ad tech integration, third-party data licensing and sales, technology products and services, digital media, and privacy.
• Draft and negotiate intricate client and vendor commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), insertion orders, rebate agreements, service and consulting agreements, and data/software licensing agreements.
• Independently manage and finalize negotiations with data and technology providers, platforms, publishers, and ad tech vendors.
• Serve as the initial point of contact for company-wide legal inquiries and manage legal requests.
• Collaborate with lead counsel for Swoop affiliates to synchronize legal and business objectives.
• Develop and implement legal and privacy workflows and create templates for legal and compliance purposes.
• Offer support and training to sales, product, and other stakeholder teams.
• Counsel company teams on privacy, data usage and licensing, and compliance matters.
• Reduce legal risks in commercial contexts while collaborating with cross-functional teams.
• Coordinate with internal teams and senior executives to deliver strategic legal advice.
• Promote cross-department communication and alignment with legal standards and business goals.
• Undertake project-based assignments within the legal department as required.
• Juris Doctor (JD) from an accredited law school.
• Active license to practice law in at least one state, preferably California, New York, or Massachusetts.
• Over 6 years of relevant professional experience in a law firm or in-house environment.
• Familiarity with U.S. state and federal privacy regulations and compliance.
• Experience in SaaS product licensing.
• Knowledge of third-party data licensing practices.
• Proficiency in product sales agreements.
• Preferred conversational skills across marketing, finance, and analytics/data science.
• Experience with HIPAA/HITECH regulations preferred.
• Background in intellectual property issues, including licensing matters.
• Experience with global data and privacy issues is a plus.
