This is a fully remote position, open to applicants in Texas.
• Support the General Counsel & Compliance Officer in executing corporate strategic and tactical legal initiatives within the employee benefits sector.
• Offer counsel to senior management and aid in overseeing the legal function.
• Negotiate essential contracts and draft agreements, amendments, and templates.
• Manage revisions to healthcare-related contracts, including non-disclosure, services, and data exchange agreements.
• Ensure adherence to relevant laws and regulations, including entity licensing and state and federal reporting obligations.
• Oversee and monitor regulatory issues.
• Educate personnel on regulatory matters and legislative updates.
• Compose client communications pertaining to state and federal regulations and legislation.
• Draft and negotiate settlement agreements and related matters.
• Communicate with administrative and regulatory agencies, and represent the organization in administrative proceedings when necessary.
• Assist with both internal and external audits, including annual SOC audits.
• Address and evaluate reported HIPAA violations, while preparing and maintaining related documentation.
• Manage privacy and confidentiality consent forms, authorization documents, information notices, and related materials.
• Supervise privacy training and orientation for employees, contractors, business associates, and other third parties.
• Oversee trading partner and business associate agreements to ensure privacy compliance.
• Implement systems to monitor access to protected health information.
• Administer procedures for privacy complaints, investigations, and corrective measures.
• Guarantee consistent enforcement of sanctions for breaches of privacy policies.
• Review information security plans to ensure they align with privacy practices and coordinate with the information systems department.
• Stay informed about federal and state privacy laws, accreditation standards, and information privacy technologies.
• Act as a consultant on information privacy across the organization.
• Report HIPAA violations to the Compliance Officer and/or Human Resources.
• Complete necessary HIPAA training and undertake other assigned responsibilities.
• Juris Doctor degree.
• Active license to practice law in the US (must be able to provide a Certificate of Good Standing upon request).
• Knowledge and experience with information privacy laws, access, information release, and release control technologies.
• Knowledge and experience in health information management.
• Established background as legal counsel in a business setting.
• Comprehensive understanding of corporate law and procedures.
• Full awareness of the impacts of the external environment on a corporation.
• Proven ability to formulate legal defensive or proactive strategies.
• High level of professional ethics and integrity.
• Sound judgment and ability to evaluate situations and information effectively.
• Exceptional communication skills.
• Availability during core hours from 8:00 AM to 5:00 PM CT.
