This is a fully remote position, open to applicants in New York, +2 more states.
• Act as Daymark Health’s inaugural in-house lawyer and develop the legal function from scratch.
• Become a member of the senior leadership team and report directly to the CEO.
• Function as the general counsel for the company, addressing corporate governance, board matters, entity formation and maintenance, M&A, due diligence support, and commercial contracting.
• Oversee corporate practice of medicine analysis across all operational states.
• Assist in payer and value-based care contracting from LOI to execution.
• Lead the resolution of payer disputes and coordinate litigation strategies with external counsel.
• Select, manage, and ensure accountability of outside counsel.
• Provide a comprehensive legal risk assessment for the company along with a prioritized 12-month legal roadmap.
• Offer guidance on Stark Law, Anti-Kickback Statute, False Claims Act, state licensure, scope of practice, telehealth, fee-splitting, and corporate practice regulations.
• Collaborate with Clinical Operations and compliance on arrangements for clinical staffing, supervision, and delegation.
• Take ownership of HIPAA and state-specific health data privacy compliance.
• Develop legal and governance frameworks for the use of AI and provide advice on AI vendor contracts and internal AI tools.
• Review and negotiate agreements related to vendors, technology, SaaS, partnerships, licensing, and real estate.
• Manage multi-state employment law issues.
• Oversee corporate insurance programs and the protection and assignment of intellectual property.
• Create scalable processes for contract review, regulatory tracking, and escalation of legal risks.
• Counsel the executive team and board on legal risks associated with strategic initiatives.
• Optimize the use of outside counsel for cost-effectiveness and quality as the company grows.
• Over 10 years of experience in the healthtech sector.
• Juris Doctor (JD) degree and bar admission.
• Background in corporate law, specifically excluding litigation.
• Substantial experience in negotiating and structuring value-based care agreements with health plans.
• Extensive, hands-on experience with corporate practice of medicine, healthcare fraud and abuse laws (Stark, AKS, FCA), and MSO/PC structuring across various states.
• Familiarity with HIPAA and state privacy legislation.
• Ability to provide advice on emerging issues related to AI governance and liability.
• Experience with multi-state employment law applicable to a distributed or clinical workforce.
• Previous role as an Associate General Counsel or senior deputy.
• Comprehensive experience across governance, M&A, commercial, and employment issues without reliance on a large team.
• Proven track record of establishing legal processes and infrastructure.
• Strong judgment on the decision to build in-house capabilities versus engaging outside counsel.
• Excellent judgment, humility, and a tendency towards practical, business-friendly solutions.
