This is a fully remote position, open to applicants in Philippines.
• Prepare, evaluate, and negotiate commercial contracts, including non-disclosure agreements, master service agreements, insertion orders, vendor contracts, amendments, and other business-related agreements.
• Assess legal and commercial risks in proposed contracts and offer practical advice to internal stakeholders.
• Assist senior legal management in formulating negotiation strategies, fallback positions, contract templates, clause libraries, and legal playbooks.
• Provide guidance to internal teams on common contractual inquiries and escalate higher-risk or unique issues as necessary.
• Perform legal research and create summaries related to Philippine and international laws, regulations, and compliance obligations.
• Aid with corporate governance, entity upkeep, regulatory submissions, and legal requirements concerning international operations.
• Support the data privacy initiative, including privacy-related inquiries, data protection clauses, and privacy standards.
• Contribute to employment, corporate, compliance, and general legal matters under the supervision of senior legal leadership.
• Keep precise records of contracts, corporate documents, legal counsel, and other legal materials.
• Collaborate with Finance, Sales, Revenue, Human Resources, Technology, Security, and other teams on contractual and legal duties.
• Assist with vendor onboarding, due diligence, security assessments, privacy evaluations, and related documentation.
• Help enhance legal processes, workflows, policies, training materials, and internal guidance.
• Stay updated on relevant legal and regulatory changes and communicate significant updates.
• Oversee assigned legal matters and projects from initiation to completion, with appropriate supervision and escalation.
• Provide additional legal and administrative assistance as required.
• Juris Doctor, Bachelor of Laws, or equivalent legal degree is mandatory.
• Active and good standing member of the Philippine Bar.
• Approximately two to four years of pertinent legal experience, ideally in commercial contracts, corporate law, data privacy, employment law, regulatory compliance, or in-house legal support.
• Previous experience in a law firm or corporate legal department is preferred.
• Experience supporting technology, media, marketing, software, advertising, or lead-generation sectors is advantageous.
• Strong basis in contract interpretation, legal research, issue identification, and legal writing.
• Capable of differentiating between significant legal risks and routine business concerns while recommending practical next steps.
• Comfortable working under the guidance of senior counsel while independently handling routine matters.
• Exceptional written and verbal English communication skills across email, Slack, video conferencing, and formal legal documents.
• Strong organizational and time-management abilities, with the capacity to handle competing priorities while ensuring accuracy.
• Highly attentive to detail without losing sight of broader business objectives.
• Inquisitive, resourceful, and willing to ask insightful questions when further guidance is necessary.
• Sound professional judgment and discretion in managing confidential or sensitive issues.
• Proactive and capable of taking ownership of tasks from start to finish.
• Able to function effectively in a fast-paced, dynamic environment where priorities may rapidly change.
• Must be available to work U.S. business hours.
• A reliable computer, internet connection, and backup connectivity are required.
