Transaction Legal Counsel

This is a fully remote position, open to applicants anywhere in the world.

📋 Description

• Prepare, review, and negotiate legal documents related to secondary transactions and NAV lending, including NDAs, LOIs, Purchase & Sale Agreements, Transfer Agreements, Credit Agreements, and other contractual materials.

• Analyze fund documentation such as LPAs, offering materials, and side letters to determine transferability guidelines, consent requirements, and closing conditions.

• Oversee global closing workflows by liaising with buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams.

• Ensure the prompt and precise execution of legal and operational deliverables.

• Supervise KYC/AML onboarding processes, encompassing identity verification, beneficial ownership review, and adherence to regulatory compliance requirements.

• Enhance legal infrastructure by improving templates, playbooks, checklists, and standardized processes.

• Provide guidance to internal teams on legal obligations, transaction viability, and risk assessments.

• Collaborate effectively across legal, operations, deal teams, and platform workflows.

⛳️ Requirements

• A minimum of 5 years of post-qualification experience in transactional legal, compliance, transaction services, or financial services roles.

• Ideally, experience within investment banks, Big Four advisory firms, private equity, or in-house legal departments.

• Strong understanding of US and/or UK law-governed agreements in a cross-border environment.

• Experience in supporting or managing multi-party transaction execution and closing processes.

• Proficient knowledge of KYC/AML and regulatory compliance in financial transactions.

• Excellent organizational and communication abilities.

• Capability to handle multiple workstreams concurrently.

• Experience in financial services, private markets, or fintech platforms is a plus.

• Prior experience coordinating multi-party closings that involve lenders, fund managers, administrators, custodians, and institutional investors is a plus.

• Comfort in working across different international time zones and cultures is a plus.
