Staff Attorney

This is a fully remote position, open to applicants in Texas, +1 more state.

📋 Description

• Manage buyout requests and the termination processes for wholesale customer agreements

• Prepare and review correspondence, ancillary transaction documents, and materials related to contracts, including amendments, consents, and notices

• Keep the contracts and matter tracker current and organized

• Deliver regular updates to the Deputy General Counsel and senior management

• Evaluate and enhance standard form agreements, such as supply, consignment, and lease templates

• Identify opportunities for process enhancements to boost efficiency in contract intake, drafting timelines, and legal support for operational teams

• Execute other related responsibilities as assigned

• Report directly to the Deputy General Counsel

• Strong analytical and logical thinking skills, with a keen attention to detail

• Excellent written and verbal communication abilities

• Exceptional organizational skills, capable of managing a high volume of simultaneous matters

• Self-driven with the ability to prioritize tasks under tight deadlines

• Capacity to work independently as well as collaboratively within a team

• Capability to engage cross-functionally with non-legal teams

• Proven experience in drafting and negotiating commercial contracts

• Preferred familiarity with transactions involving supply, distribution, lease, or M&A

• Juris Doctor degree

• Active bar membership in good standing in at least one U.S. state

• 2–5 years of experience in transactional or corporate law, either in-house or at a law firm

• Knowledge of commercial contract law, including UCC Article 2 and Article 9 principles, as well as standard secured transaction and M&A documentation
