This is a fully remote position, open to applicants in United States.

📋 Description

• Take charge of Devoted's equity plan operations, establishing a top-tier company equity plan function.

• Oversee daily equity plan operations in Carta, which includes processing grants, option exercises, cancellations, repurchases, and managing the cap table.

• Assess equity administration tools and spearhead the implementation of innovative solutions.

• Manage monthly and quarterly reconciliations and reporting related to equity.

• Handle employee equity plan transactions, including liquidity events, from planning through to employee communication and settlement.

• Develop and enhance equity plan transaction processes, especially option exercises, ensuring precision and compliance.

• Assist in formulating equity plan tax policies and procedures in collaboration with Accounting, Tax, Legal, and Payroll departments.

• Create and document standard operating procedures and internal controls, including support for audits.

• Oversee the 409A valuation process and its timing, along with the subsequent impacts on grants, exercises, and liquidity events.

• Lead integrations of HRIS and payroll systems to eliminate manual reconciliations.

• Develop automated calculations for tax withholding and payroll integration, including those applicable to liquidity events.

• Design scalable workflows to accommodate growing headcount over an extended private horizon.

• Coordinate the tax calculations, withholding, and reporting for the equity plan with Payroll, which includes Forms 3921/3922 and W-2 treatment.

• Assist in the introduction of new instruments such as RSUs.

• Offer guidance to managers and employees regarding grants, vesting, exercises, secondaries, tax implications, and payroll effects.

• Manage the verification of equity-related information from non-employee shareholders, including audit requests, shareholding confirmations, and 409A value verification.

• Collaborate with People, Legal, Accounting, Tax, Payroll, and Finance operations.

• Report directly to the VP of Corporate Finance.


⛳️ Requirements

• A minimum of 8 years of experience in equity plan administration, stock plan management, or a related discipline.

• Practical administrator-level experience with Carta; familiarity with Shareworks and other platforms is advantageous.

• In-depth understanding of equity compensation principles and their tax implications, including stock options (ISOs and NSOs) and RSUs.

• Experience with the accounting treatment and execution of various private company liquidity events.

• Proficiency in integrating payroll systems and managing tax withholding processes.

• Detail-oriented mindset with strong analytical and problem-solving capabilities.

• Exceptional communication skills, including the ability to consult with subject matter experts across legal, tax, accounting, and payroll, and to articulate complex equity concepts in simple terms to employees.

• Certification as a Certified Equity Professional (CEP) is preferred.

• Experience in a high-growth private company with a diverse shareholder base is preferred.

• Direct experience administering private company liquidity events is preferred.

• Experience in evaluating and introducing new forms of employee equity, such as RSUs, is preferred.

• Familiarity with US and international equity compensation and tax regulations is preferred.

• Knowledge of ASC 718 stock-based compensation and internal controls is preferred.

• Strong project management skills with a proven history of leading complex, cross-functional projects is preferred.

• Advanced skills in Excel/Google Sheets and experience with modeling is preferred.
