This is a fully remote position, open to applicants in United States.
• Oversee the complete lifecycle of aPriori’s commercial agreements, including intake, review, redlining, execution, tracking, and maintenance of the repository.
• Administer and act as the primary user of aPriori’s Contract Lifecycle Management (CLM) system, currently Linksquare, ensuring its configuration, relevancy, and user adoption.
• Identify and implement AI-driven workflows, automation tools, and enhancements to existing processes.
• Create and uphold standard operating procedures for contract intake, review, negotiation, execution, and compliance following signature.
• Collaborate with the Deal Desk to ensure that Order Documents, Statements of Work (SOWs), and attachments are accurate, complete, and executed punctually.
• Prepare fully negotiated agreements for signature by authorized personnel.
• Provide guidance to sales teams regarding standard contract terms and processes.
• Maintain and enhance the contracts repository, focusing on organization, tagging, and search functionality.
• Ensure data hygiene within the CLM, including metadata completeness, renewal and expiration tracking, and accuracy of counterparties.
• Generate reports and dashboards from the CLM for Legal and Finance leadership.
• Review, redline, and negotiate customer-proposed Mutual Non-Disclosure Agreements (MNDAs) and other standard commercial agreements.
• Assess customer redlines to SaaS Agreements, on-premises software agreements, SOWs, and Order Documents.
• Address contractual and legal issues, resolving routine matters and escalating non-standard or high-risk issues to the VP of Legal.
• Monitor non-standard contractual commitments and customer exceptions, notifying stakeholders of necessary actions.
• Complete vendor onboarding forms, security questionnaires, and procurement questionnaires in collaboration with internal teams.
• Assist with legal, commercial, and contractual responses to Requests for Proposals (RFPs), Requests for Information (RFIs), and similar procurement processes.
• A minimum of 7 years of direct experience with commercial contracts in a technology company, law firm, or legal operations setting.
• Proven experience managing SaaS or software licensing agreements.
• Extensive knowledge of SaaS agreements, on-premises software licenses, NDAs/MNDAs, SOWs, and order documents.
• Capability to identify, articulate, and resolve common negotiation issues without attorney oversight.
• Familiarity with GDPR, CCPA, and standard Data Processing Agreement (DPA) structures.
• Practical experience managing or utilizing a CLM platform, such as Linksquares, Ironclad, Conga, DocuSign CLM, or Icertis.
• Demonstrated use of AI tools to enhance contract workflows and the ability to specify tools and measurable results.
• Excellent written and verbal communication abilities.
• Capacity to work independently, prioritize under pressure, and make sound decisions regarding escalation.
• Strong attention to detail in contract review, data entry, and obligation tracking.
• A Bachelor’s degree is required.
• A Paralegal Certificate from an ABA-approved program or an equivalent professional certification is highly preferred.
• Experience in a fast-paced B2B SaaS company or enterprise software vendor is advantageous.
• Background in supporting or collaborating with a sales deal desk in an enterprise B2B context is a plus.
• Experience in completing security questionnaires, vendor questionnaires, and RFPs for enterprise technology clients is beneficial.
