This is a fully remote position, open to applicants in United States.
• Review, redline, and negotiate commercial agreements independently, including SaaS subscriptions, Master Services Agreements, Statements of Work, NDAs, Data Processing Agreements, and Business Associate Agreements.
• Utilize company playbooks, fallback positions, and standardized guidelines throughout the negotiation process.
• Assist Sales and Procurement teams with contract structures, renewal terms, billing triggers, and order form specifics.
• Examine data privacy, security, SLA, and liability terms in accordance with company policies and healthcare standards.
• Raise non-standard legal risks to managing attorneys.
• Keep contract templates, clause libraries, and negotiation playbooks updated and maintained.
• Enhance data entry and workflow efficiency within the Contract Lifecycle Management system.
• Collaborate with Security, Privacy, Finance, and Customer Success to obtain approvals and ensure terms align with operational capabilities.
• Ensure accurate maintenance of contract records.
• Monitor contract metrics, including turnaround times and request volumes.
• Support audit readiness and reporting efforts.
• Provide education to Sales and Procurement teams regarding legal intake procedures, contracting policies, and template usage.
• A Bachelor's Degree in Legal Studies, Business, or a related field, or a Paralegal Certification is required.
• 6–10+ years of experience in commercial contracting or as a paralegal.
• Experience in supporting SaaS or technology transactions.
• Proven experience in drafting, reviewing, and negotiating commercial agreements.
• Knowledge of commercial contract provisions, including liability, indemnity, data protection, and service levels.
• Strong skills in stakeholder management.
• Capable of analytical thinking and risk assessment.
• Excellent written and verbal communication abilities.
• Familiarity with contract lifecycle management tools.
• Experience in healthcare technology or regulated industries is a plus.
• Preferred experience supporting global contracting.
• Preferred experience in mid-size or public technology companies.
• Knowledge of data privacy frameworks such as HIPAA and GDPR is preferred.
• Experience with CLM platforms like Ironclad, Agiloft, or Conga is preferred.
