This is a fully remote position, open to applicants in Canada, +1 more state.
• Take charge of the complete cycle of contract drafting and negotiation for new client contracts, client-provided templates, change orders, extension orders, vendor contracts, MNDAs, employment contracts, and independent contractor/freelancer agreements.
• Prepare and negotiate client MSAs/SOWs using company templates and oversee the client review and redline processes.
• Manage content mapping and negotiations for client MSA/SOW templates.
• Draft and manage change orders and extension orders based on existing MSA/T&C terms.
• Negotiate vendor contracts while cross-referencing vendor terms with relevant client contracts to ensure consistency in scope, IP, and confidentiality.
• Make escalation decisions and act as the primary liaison with outside counsel.
• Review insurance and liability terms, collaborate with People Ops on coverage specifics, and complete InfoSec questionnaires as needed.
• Audit active SOWs and change orders against governing MSA terms to detect scope creep.
• Standardize the contract template library encompassing client, vendor, employment, contractor, freelancer, and change-order documents.
• Document and enforce contract acceptance/rejection policies and escalation protocols.
• Manage contract intake and storage via ClickUp, Google Drive, and associated workflows.
• Contribute to an AI-enhanced contract knowledge tool for account and delivery teams.
• Set up and maintain DocuSign/PandaDoc for e-signature, tracking, and lifecycle metadata.
• Develop a scalable contract management function ensuring contracts are reviewed within two business days.
• Over 6 years of experience in contract management, paralegal work, or as contracts counsel.
• Preferably experienced in B2B SaaS, marketing/agency, or professional services sectors.
• Proven ability to independently draft and negotiate MSAs, SOWs, vendor contracts, and change orders.
• Strong working knowledge of US and Canadian contract law fundamentals, including indemnification, liability caps, IP/usage rights, and data privacy principles.
• Capacity to identify issues needing outside counsel and provide concise briefs to counsel.
• Knowledge of GDPR, PIPEDA, and CCPA regulations.
• Demonstrated experience in establishing a contract management function, workflow, or Customer Lifecycle Management tools from the ground up.
• Practical experience with DocuSign, PandaDoc, ClickUp, and at least one AI-assisted knowledge or CLM tool.
• Ability to work independently in a remote, high-volume environment while managing multiple concurrent contract types without close supervision.
• Comfortable navigating US and Canadian jurisdictions with minimal live overlap.
• Availability for Mountain Time overlap.
• Base salary range of $60,000–$110,000 CAD annually.
