Senior Commercial Counsel

This is a fully remote position, open to applicants in Massachusetts.

📋 Description

• Review, draft, and negotiate various contracts, including SaaS subscription agreements, partnerships, reseller agreements, MSP contracts, distribution agreements, NDAs, data processing agreements, information security contracts, business associate agreements, and vendor contracts.

• Collaborate with partner channel teams to facilitate and negotiate partner agreements.

• Provide expert legal counsel and support to sales teams and cross-functional departments.

• Implement standardized processes for contract review and risk assessment.

• Utilize contract and matter management tools and software to document contracts and obligations.

• Enhance and develop standard form agreements and negotiation playbooks.

• Design and conduct training sessions for business teams on legal best practices and updates in legal and regulatory matters.

• Work in coordination with internal team members on issues related to privacy, security, compliance, and products.

• Occasionally perform responsibilities outside of regular working hours due to global time zone differences.

⛳️ Requirements

• A minimum of 6–8 years of experience in a commercial in-house role within a technology company in the SaaS sector.

• Proven experience in supporting and collaborating with sales, partner channel, and procurement teams.

• Strong capability to build consensus and drive alignment among internal and external stakeholders and teams.

• Experience in a fast-paced, high-growth environment, with the ability to identify challenges, propose solutions, and execute effectively.

• Familiarity with business and legal operations systems such as Ironclad, Salesforce, Spellbook, and Guru.

• Comfort in a remote work setting, with the ability to work asynchronously and independently across US, EMEA, and APAC time zones.

• Exceptional written and verbal communication skills.

• Keen attention to detail.

• Juris Doctorate degree.

• Valid license to practice law in good standing.
