This is a fully remote position, open to applicants in United States.
• Deliver legal administration services that cater to the fundamental legal requirements of various clients.
• Draft updates for client registration statements and other SEC filings for clients.
• Prepare and distribute materials for client boards and committees.
• Participate in board and committee meetings via telephone or, upon request, in person, to take notes.
• Compose minutes for client board and committee meetings.
• Keep clients informed about recent regulatory developments and perform basic regulatory research concerning the Investment Company Act of 1940 without issuing legal conclusions.
• Draft amendments to Ultimus contracts for services rendered to designated clients.
• Ensure timely and accurate completion of internal compliance documents, including filing checklists.
• Foster strong relationships in Legal Administration and maintain high levels of client satisfaction.
• Prepare documents and filings for specialized regulatory add-on services, such as new funds/trusts, proxy statements, information statements, and Form N-14.
• Mentor associates through guidance, coaching, practical experiences, modeling effective practices, and offering advice on methods.
• Participate in departmental committees as needed.
• Maintain communication with internal departments and external vendors/relationships to fulfill client requirements.
• Interact directly with team members and, occasionally, with clients.
• Carry out other assigned responsibilities as required.
• A Juris Doctor (J.D.) degree and membership (or anticipated membership) in the bar of at least one state.
• 0-3 years of experience as an attorney under the 1940 Act.
• Familiarity with the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and related securities laws.
• Competence in Microsoft Office Suite.
• Proficiency with Adobe Acrobat.
• Strong client service skills and an understanding of clients’ fundamental legal and business needs.
• Excellent written communication skills, including the ability to clarify legal concepts in plain language.
• Skills in legal research and legal analysis.
• Strong multitasking, analytical, and organizational abilities.
