This is a fully remote position, open to applicants in Pennsylvania.
β’ Provide comprehensive legal support and guidance for U.S. and global contracting activities.
β’ Draft, review, negotiate, and manage various commercial agreements, including consulting, services, technology, software, SaaS, licensing, data, and vendor agreements.
β’ Collaborate with Procurement and business stakeholders to structure transactions that align with legal, regulatory, operational, and business goals.
β’ Offer advice on commercial contracting, risk allocation, compliance requirements, and contract governance.
β’ Identify and evaluate legal and contractual risks linked to third-party engagements.
β’ Assist in vendor dispute resolution and negotiate resolutions that align with business interests.
β’ Develop and maintain contract templates, playbooks, negotiation guidance, and standard clauses.
β’ Work alongside global legal colleagues and business partners on international contracting matters.
β’ Design and deliver training on contracting, vendor management, and related legal subjects.
β’ Support mergers, acquisitions, financing transactions, and other strategic enterprise initiatives.
β’ Collaborate with Compliance, Privacy, Information Protection, Information Technology, Procurement, and operational teams.
β’ Oversee outside counsel on specialized matters.
β’ Lead stakeholder discussions to gather information, align priorities, and achieve business goals.
β’ Drive process improvement and the advancement of contracting and governance practices.
β’ Share legal knowledge and subject matter expertise across the Legal organization.
β’ Develop, implement, and coordinate strategies for contracting and governance.
β’ Proactively identify risks related to third-party contract non-compliance.
β’ Juris Doctor (JD) is required.
β’ Must have an active license and be in good standing in at least one U.S. jurisdiction.
β’ A minimum of 5 years of experience in negotiating and drafting commercial contracts.
β’ Significant experience in supporting vendor, procurement, technology, consulting, and services transactions.
β’ Experience in procurement, sourcing, vendor management, or commercial operations is preferred.
β’ Strong skills in contract drafting, negotiation, communication, and relationship management.
β’ Ability to identify legal issues, assess risk, and provide practical, business-oriented legal advice.
β’ Experience in supporting technology transactions, intellectual property matters, privacy considerations, and complex commercial arrangements.
β’ Experience in healthcare, pharmacy, or another highly regulated industry is preferred.
β’ Proven ability to influence and collaborate within a matrixed organization.
β’ Strong analytical, problem-solving, and decision-making abilities.
β’ Highly organized with exceptional attention to detail and adept at managing multiple priorities.
β’ Established ability to build strong professional relationships and collaborate with stakeholders at all organizational levels.
β’ Ability to work independently while exercising sound judgment in complex situations.
β’ Strong presentation skills and experience communicating with senior leaders and business stakeholders.
β’ If working remotely, must have cable broadband or fiber optic internet with a minimum of 10Mbps download and 5Mbps upload.
