Procurement Contracts Consultant

This is a fully remote position, open to applicants in Ireland.

📋 Description

• Deliver legal assistance to the client's international Procurement team, collaborating with in-house Legal and business partners across EMEA and the US.

• Analyze, draft, and negotiate procurement contracts, including vendor MSAs, SaaS and marketing agreements, SOWs, order forms, amendments, and renewals.

• Assess and negotiate data processing agreements, privacy clauses, and security terms in cooperation with Privacy, Information Security, and GRC teams.

• Evaluate and negotiate contract terms related to AI, addressing legal risks while ensuring alignment with company policies and business needs.

• Provide guidance on contractual risks such as liability caps, indemnities, confidentiality, intellectual property, service levels, termination rights, and automatic renewals.

• Formulate negotiation strategies and fallback language that safeguard client interests while supporting business goals and ensuring timely deal closure.

• Collaborate with Procurement, Finance, IT, Privacy, and other stakeholders to clarify requirements, address contractual challenges, and obtain necessary approvals.

• Oversee multiple contract reviews through internal intake and approval processes, effectively communicating priorities, outstanding issues, and proposed solutions.

⛳️ Requirements

• Minimum of 8 years of experience in commercial contracting.

• Extensive experience in reviewing and negotiating SaaS agreements.

• Experience in procurement or vendor-side contracting.

• Background in a fast-paced technology company environment.

• Proficiency in advising on data protection, security, and AI-related contract terms.

• Capability to independently manage a high volume of contracts and prioritize tasks effectively.

• Excellent communication skills with a practical, business-oriented approach.

• Must be a qualified lawyer.
