M&A Tax Senior Associate – Corporate Finance, Healthcare Transaction Advisory

This is a fully remote position, open to applicants in Tennessee.

📋 Description

• Assist with M&A tax diligence efforts for both buy-side and sell-side transactions.

• Engage in and facilitate client and target management discussions centered on tax diligence matters.

• Evaluate U.S. federal and state tax implications associated with transactions.

• Contribute to the creation of tax diligence reports and both internal and client-facing deliverables.

• Develop and maintain transaction tax models.

• Assess federal income tax implications of transaction structures, including entity classification and timing considerations.

• Aid in the examination of state and local tax risks, encompassing nexus, apportionment, and filing responsibilities across different jurisdictions.

• Recognize and document state tax liabilities, including past non-compliance, audit risks, and uncertain tax positions.

• Collaborate with senior team members on intricate tax matters and support deal execution.

⛳️ Requirements

• CPA or JD/LLM qualification.

• 2–3+ years of experience in M&A tax consulting.

• Background in transaction tax diligence.

• Experience in public accounting or a similar advisory setting.

• Knowledge of SALT diligence concerning state income/franchise tax, sales & use tax, employment/payroll tax, property tax, and unclaimed property risks.

• Understanding of nexus, apportionment, filing footprint assessments, compliance deficiencies, and state conformity to federal transaction elections, including 338(h)(10).

• Legal authorization to work in the United States without the need for company sponsorship.
