M&A and Accounting Policy Manager

This is a fully remote position, open to applicants in United States.

📋 Description

• Lead financial due diligence on target companies, encompassing quality of earnings analysis, working capital evaluations, and the identification of accounting exposures and deal-related risks.

• Manage end-to-end purchase accounting for completed acquisitions in accordance with ASC 805, including purchase price allocation, intangible asset recognition, goodwill calculation, and measurement period adjustments.

• Oversee the accounting treatment for strategic investments under ASC 321, ASC 323, and ASC 810, including the elections of equity method and fair value options.

• Develop and refine Coinbase's accounting policies through technical accounting memoranda on new and emerging products, ensuring each analysis is concluded in collaboration with external auditors.

• Produce original footnote disclosures, Management's Discussion and Analysis (MD&A), and transaction-related disclosures for 10-Q and 10-K filings, while ensuring that related SOX controls are effectively designed and operational.

• Collaborate with Product, Legal, Tax, FP&A, Controllership, and Corporate Development to provide accounting expertise for new product launches, intricate transactions, and post-acquisition integration.

⛳️ Requirements

• Over 9 years of progressive accounting experience with a robust combination of Big 4 public accounting and industry background; CPA certification is mandatory.

• Extensive knowledge of US GAAP, including M&A accounting (ASC 805), investment accounting (ASC 321, ASC 323), and consolidation (ASC 810).

• Proven track record in leading financial due diligence efforts, incorporating quality of earnings analysis, working capital assessments, and identification of accounting risks during live deal processes.

• Experience in managing external consultants and advisors across M&A workstreams, which includes scoping engagements, reviewing deliverables, and ensuring quality and timeline adherence by advisors.

• Demonstrated ability to draft technical accounting memoranda and original financial statement disclosures that effectively convey complex conclusions to cross-functional stakeholders.

• Employs generative AI responsibly while maintaining human oversight to produce business-ready outputs and enhance workflow efficiency, cost-effectiveness, and quality.
