Legal Director, Commercial

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, evaluate, and negotiate various commercial agreements, such as SaaS, software licensing, professional services, and maintenance contracts.

• Collaborate with Sales and Services teams to facilitate deal closure effectively while ensuring adherence to legal and regulatory standards.

• Offer strategic legal advice on RFPs, governmental procurement procedures, and contract frameworks.

• Work alongside internal stakeholders to create and implement scalable legal processes and templates that foster revenue growth.

• Assist in cross-departmental initiatives that require legal expertise, including compliance, sales operations, and risk management.

• Stay informed about relevant laws, regulations, and industry developments affecting SaaS and public sector contracting.

• Opportunity to broaden practice areas to support wider legal team initiatives, including privacy, employment, and/or compliance matters.

⛳️ Requirements

• Juris Doctor (JD) from an ABA-accredited law school in the United States.

• Active membership in at least one state bar, eligible to practice in your state of residence, including through registered in-house counsel status or another relevant authorization.

• Over 6 years of legal experience, with a minimum of 3 years spent in-house at a technology or SaaS organization.

• Extensive experience in negotiating commercial contracts, especially with government entities.

• Strong grasp of SaaS business models and software licensing practices.

• Capability to juggle multiple priorities and operate independently in a dynamic environment.

• Exceptional communication and interpersonal skills, with a focus on collaboration and teamwork.

• Preferred qualifications include familiarity with revenue recognition principles and their influence on contract terms, experience supporting enterprise software sales and professional services projects, along with exposure to privacy, compliance, and government relations.
