This is a fully remote position, open to applicants in Wisconsin.
• Draft, negotiate, implement, and oversee the lifecycle of commercial agreements that support EPR programs.
• Facilitate and expand a high-volume contracting environment.
• Lead the processes of contract intake, drafting, negotiation, execution, amendment, and termination.
• Create and enhance contract templates, fallback positions, and playbooks.
• Identify and address commercial risks, including indemnity, liability caps, data rights, termination rights, and regulatory obligations.
• Implement and maintain the contract lifecycle management system, encompassing workflows, processes, metadata, and reporting.
• Monitor and report on contract metrics such as cycle time, volume, and risk trends.
• Provide guidance to business teams regarding contract strategy, risk allocation, and negotiation positions.
• Ensure contract compliance, governance, recordkeeping, and audit readiness.
• Offer legal analysis on regulatory requirements that impact contract terms and program implementation.
• Prepare legal memoranda and summaries to assist in internal decision-making.
• Aid in compliance with applicable laws, regulations, and contract commitments.
• Report directly to the General Counsel.
• Juris Doctor (J.D.) degree from an accredited U.S. law school.
• Active bar membership in good standing in at least one U.S. state.
• A minimum of 5 years of experience primarily focused on commercial contract drafting and negotiation.
• Strong legal research, writing, and analytical abilities.
• Excellent organizational skills with the capacity to manage multiple deadlines in a fast-paced, dynamic environment.
• Proven experience in negotiating complex commercial agreements.
• Familiarity with CLM systems is highly preferred, particularly Ironclad.
• Experience in structuring and negotiating complex commercial transactions.
• Strong commercial judgment and risk assessment capabilities.
• Advanced skills in contract negotiation.
• Experience in managing high-volume contract workflows.
• Practical experience with CLM tools and optimization of contract processes.
• Detail-oriented in drafting and identifying issues within complex agreements.
• Ability to explain legal concepts to non-legal stakeholders.
• Comfortable working in a lean, entrepreneurial, and mission-driven organization.
• Team-oriented, adaptable, and proactive.
• Occasional travel for meetings or stakeholder engagement as necessary.
