This is a fully remote position, open to applicants in United States.
β’ Take ownership of securities and public company reporting responsibilities, which include SEC filings, quarterly reports, earnings announcements, annual proxy statements, investor presentations, and other public disclosures.
β’ Provide guidance on corporate governance, board and committee procedures, annual stockholders meetings, corporate approvals, equity plans, executive compensation, and compliance obligations.
β’ Offer legal counsel on intricate entity matters across various jurisdictions, such as formation, maintenance, reorganizations, intercompany agreements, and wind-downs.
β’ Assist in M&A and other strategic initiatives through due diligence, documentation, approvals, signing, closing, and post-closing integration.
β’ Engage and oversee external counsel across different jurisdictions.
β’ Recognize legal and business risks, present alternatives to senior stakeholders, and keep abreast of legal developments.
β’ Develop and enhance playbooks, checklists, templates, and workflows; mentor junior legal team members and cross-functional collaborators.
β’ Report directly to the Senior Director, Associate General Counsel, Corporate & Compliance.
β’ Work in collaboration with Accounting, Corporate Development, Finance, Investor Relations, People, Product, Stock Administration, Tax, and Treasury.
β’ A minimum of 6 years of relevant legal experience, including experience at a law firm advising US-listed public companies on securities law, corporate governance, and public company reporting.
β’ Juris Doctor (JD) degree.
β’ Active membership in a US state bar.
β’ Capability to independently manage intricate legal matters and cross-functional projects, prioritize competing demands, and drive tasks to completion with minimal supervision.
β’ Excellent written and verbal communication skills, including the ability to clarify technical legal issues for non-lawyers and senior executives, and to cultivate trusted working relationships.
β’ Proficiency in investigating unfamiliar legal questions, assessing risks in relation to business goals, and translating recommendations into actionable steps.
β’ Experience in enhancing legal processes, templates, policies, or other scalable resources.
β’ Ability to collaborate within a remote, globally distributed team across various time zones and cultures.
