This is a fully remote position, open to applicants in Pennsylvania.
• Prepare, evaluate, negotiate, and oversee commercial contracts, encompassing consulting, services, technology, software, SaaS, licensing, data, and vendor agreements.
• Collaborate with Procurement and business stakeholders to formulate transactions that align legal, regulatory, operational, and business goals.
• Provide guidance to clients on commercial contracts, risk distribution, compliance standards, and contract management.
• Recognize and evaluate legal and contractual risks related to third-party engagements.
• Assist in vendor dispute resolution and negotiate solutions that align with business interests.
• Create and sustain contract templates, playbooks, negotiation strategies, and standard provisions.
• Work alongside global legal colleagues and business partners on international contracting issues.
• Develop and present training sessions on contracting, vendor management, and related legal subjects.
• Contribute to strategic corporate initiatives, including mergers, acquisitions, financing transactions, and other enterprise projects.
• Collaborate with Compliance, Privacy, Information Protection, Information Technology, Procurement, and operational teams.
• Oversee outside counsel on specialized legal matters.
• Lead discussions with stakeholders to gather insights, align priorities, and meet business objectives.
• Promote process enhancements and the advancement of contracting and governance practices.
• Disseminate legal knowledge and subject matter expertise throughout the Legal department.
• Formulate, implement, and manage contracting and governance strategies.
• Identify risks associated with non-compliance regarding third-party contracts.
• Juris Doctor (JD) degree is required.
• Must have an active license and be in good standing within at least one U.S. jurisdiction.
• A minimum of 5 years of experience in negotiating and drafting commercial contracts.
• Significant experience in supporting vendor, procurement, technology, consulting, and services transactions.
• Excellent skills in contract drafting, negotiation, communication, and relationship management.
• Capability to identify legal issues, assess risk, and deliver practical, business-oriented legal advice.
• Experience in technology transactions, intellectual property issues, privacy considerations, and complex commercial arrangements.
• Proven ability to influence and collaborate within a matrixed organization.
• Strong analytical, problem-solving, and decision-making abilities.
• Highly organized with exceptional attention to detail and capacity to manage multiple priorities simultaneously.
• Demonstrated ability to establish strong professional relationships and collaborate with stakeholders at all organizational levels.
• Ability to work independently while exercising sound judgment in complex situations.
• Strong presentation skills and experience in communicating with senior leaders and business stakeholders.
• Home internet connection via cable broadband or fiber optic service with a minimum of 10 Mbps download and 5 Mbps upload for remote work.
