This is a fully remote position, open to applicants in Germany.
β’ Take charge of all legal documents at Nextcloud, ensuring they are updated, consistent, and well-organized.
β’ Prepare, examine, and negotiate customer contracts, order forms, NDAs, and partner/reseller agreements.
β’ Manage and enhance our Terms & Conditions, Data Processing Agreements (DPAs), and other standard contractual documents.
β’ Develop and implement our compliance framework, which includes policies, training, and risk management.
β’ Serve as the legal advisor for public tenders by reviewing tender documents, eligibility and compliance requirements, and assisting in the bidding process.
β’ Act as the primary contact for data protection (GDPR) inquiries within the organization, collaborating closely with our external Data Protection Officer.
β’ Assist the Sales team during negotiations by providing practical, business-oriented legal advice.
β’ Monitor regulatory changes relevant to an international open-source software company and translate them into actionable strategies.
β’ Provide support for HR-related legal issues, such as contracts and terminations, in close partnership with our Head of HR.
β’ A completed legal degree (a German legal qualification is advantageous).
β’ Several years of practical experience in commercial contract law, including drafting and negotiating Terms & Conditions, ideally within the B2B software or technology sectors.
β’ Strong, hands-on knowledge of data protection law (GDPR) and experience interacting with Data Protection Officers or supervisory authorities.
β’ Experience in advising on public tenders and public procurement law (e.g., VgV, GWB, UVgO), preferably in a software or IT environment.
β’ A pragmatic and confident communicator who can simplify legal concepts for non-lawyers and facilitate business progress.
β’ Proficiency in both German and English, spoken and written.
β’ Familiarity with the software/SaaS/open-source business models and licensing (e.g., AGPL, dual licensing), with experience in a scale-up or rapidly growing software company being a plus.
