Lawyer – Contracts and Intellectual Property

This is a fully remote position, open to applicants in Brazil.

📋 Description

• Perform comprehensive evaluations of drafts provided by suppliers and business partners, pinpointing vulnerabilities and engaging in negotiations to reduce legal risks.

• Create and organize a variety of contracts, amendments, termination agreements, confidentiality agreements, and other documents pertinent to the company’s operational functions.

• Develop practical legal opinions, memoranda, and legal advice to assist in strategic decisions made by the client’s internal departments.

• Engage in meetings with business teams, suppliers, and partners, actively identifying contingencies and ensuring alignment of projects.

• Confirm that contractual agreements adhere to internal policies, governance procedures, and compliance standards.

• Act as a conduit between the client’s daily corporate operations and the law firm’s supplementary technical support.

• Carry out legal evaluations for product launches, marketing campaign validation, and innovative projects, which include freedom-to-operate analyses, prior-art searches, and evaluations of potential infringement on third-party rights.

• Draft and negotiate technology transfer agreements, trademark and patent licensing agreements, copyright assignments, software development agreements, NDAs, and co-branding agreements.

• Oversee the portfolio of intangible assets and track filings, oppositions, submissions, appeals, and nullity procedures before the Brazilian National Institute of Industrial Property (INPI).

⛳️ Requirements

• Bachelor’s degree in Law and active membership in the Brazilian Bar Association (OAB).

• Preferred: postgraduate qualification in Contracts.

• Experience in contract law and legal advisory roles.

• Background working in law firms specializing in contract practice.

• Advanced proficiency in English.
