This is a fully remote position, open to applicants in Canada.
• Oversee, arrange, and refresh corporate records and minute books for JD Power entities on a global scale.
• Prepare, assess, coordinate, and submit corporate documentation and company secretarial filings.
• Draft and sustain corporate resolutions, consents, and governance-related documentation.
• Assist with activities related to the entity lifecycle, including formations, dissolutions, mergers, name changes, restructurings, and associated filings.
• Keep updated organizational charts along with records of directors, officers, and authorized signatories.
• Collaborate with external registered agents, local legal counsel, and third-party service providers.
• Aid in corporate compliance activities and the administration of policies.
• Assist with regulatory and due diligence inquiries, such as KYC, UBO, and corporate information requests.
• Contribute to special projects concerning corporate governance, compliance, and legal operations.
• Conduct preliminary assessments of specified contract types and pinpoint key legal and business considerations.
• Draft initial comments and responses on contracts under the supervision of in-house counsel.
• Support legal intake requests and manage shared legal inboxes.
• Track, organize, and maintain records, workflows, and documentation for the legal department.
• Provide administrative and operational assistance to the Legal Department.
• Identify avenues for process enhancement, increased efficiency, and the use of technology, including AI-driven tools.
• Execute other duties and special projects as assigned.
• A minimum of 3 years of experience as a Corporate Law Clerk, Paralegal, or in a comparable legal support capacity.
• A diploma or certificate from an accredited Law Clerk or Paralegal program is an advantage.
• Strong preference for candidates with experience in corporate governance, entity management, and regulatory filings across various jurisdictions.
• Experience in reviewing commercial agreements and supporting contract administration is beneficial.
• Superior organizational and project management abilities with remarkable attention to detail.
• Capability to manage conflicting priorities and work autonomously with limited supervision.
• Outstanding interpersonal and communication skills.
• High degree of professionalism, discretion, and judgment in managing confidential information.
• Familiarity with corporate law, corporate governance, and legal documentation.
• Interest in improving processes and utilizing technology, including AI tools.
• Proficient in Microsoft Office applications.
• Experience with contract lifecycle management systems, entity management software, or procurement platforms is advantageous.
• Exposure to a wide variety of corporate, compliance, and commercial legal matters across multiple jurisdictions.
