This is a fully remote position, open to applicants in United States.
• Act as Hazel's lead in-house attorney and compliance director.
• Offer practical legal guidance on healthcare regulatory issues, corporate governance, employment law, commercial contracts, privacy, enterprise compliance, and risk management.
• Manage ongoing legal tasks in-house while overseeing specialized external legal counsel.
• Decrease dependence on external counsel by internalizing repeatable legal work.
• Create templates, playbooks, matter intake processes, budgets, billing guidelines, relationships with preferred counsel, and alternative fee structures.
• Achieve measurable reductions in external legal expenditures while ensuring quality and effective risk management.
• Lead the legal strategy and negotiations for agreements with customers, payers, partners, and significant vendors.
• Collaborate with Growth, Finance, Operations, and Security on critical contract terms.
• Provide counsel on telehealth, provider licensure, scope of practice, prescribing regulations, corporate-practice-of-medicine issues, and administrative/clinical decision boundaries.
• Maintain Hazel's multi-entity legal framework, entity mapping, and governance documentation.
• Coordinate state entries and exits along with structural changes with Finance, Clinical leadership, and outside counsel.
• Direct the enterprise compliance program and its maturity roadmap, encompassing policies, training, monitoring, reporting, investigations, and corrective actions.
• Support the Compliance Committee and ensure regular reporting to the Board.
• Oversee responsibilities of the Privacy Officer and provide advice on HIPAA, FERPA, student-data privacy, data usage, vendor obligations, and responsible AI governance.
• Establish frameworks for incident response, minimum necessary access, and regulatory reporting.
• Counsel People leadership on workforce reductions, WARN analysis, separations, releases, investigations, leave, accommodations, employee relations, and multi-state employment compliance.
• Maintain prioritized legal and compliance risk assessments and advise leadership and the Board on risk appetite and mitigation strategies.
• Manage regulatory inquiries, internal investigations, and plans for corrective actions.
• Oversee external counsel for financing, M&A, litigation, government investigations, malpractice, intellectual property, tax issues, and unique state-specific regulatory concerns.
• JD from an accredited law school is required.
• Must hold an active membership in good standing within at least one U.S. jurisdiction.
• Approximately 6-10+ years of progressively responsible legal experience is necessary.
• Significant in-house experience within healthcare or a closely related regulated sector is required.
• Strong foundational knowledge of healthcare regulation and compliance is essential.
• Experience in translating complex regulatory requirements into actionable operating guidance is needed.
• Familiarity with HIPAA, healthcare privacy and security, Medicaid billing integrity, fraud, waste and abuse controls, OIG compliance frameworks, training, monitoring, investigations, and Board reporting is essential.
• Exceptional skills in contract drafting and negotiation are required.
• Ability to provide counsel on sensitive workforce issues is necessary.
• Understanding of MSO and affiliated professional-entity operations is important.
• Experience with PC governance, intercompany arrangements, multi-state qualifications, or corporate-practice-of-medicine matters is strongly preferred.
• Capability to create systems, templates, and playbooks is required.
• Proficiency in utilizing technology effectively to enhance workflows is necessary.
• Ability to select and manage outside counsel, define scope, negotiate fees, and control expenditures is essential.
• Sound judgment and clear communication with clinical and business leaders are crucial.
• Capability to raise difficult issues and communicate openly with senior management and the Board is required.
