This is a fully remote position, open to applicants in United States.
• Deliver legal advice throughout the entire lifecycle of U.S. Government contracts, subcontracts, grants, OTAs, and various other government agreements.
• Examine, draft, and negotiate prime contracts, subcontracts, teaming agreements, NDAs, vendor agreements, and additional commercial and government-related agreements.
• Provide guidance on FAR, DFARS, agency supplements, flow-down requirements, representations and certifications, and obligations associated with government contracting.
• Collaborate with Contracts, Finance, Strategy, and program teams on solicitations, proposals, negotiations, contract modifications, and performance matters.
• Counsel on contract interpretation, changes, disputes, terminations, intellectual property rights, technical data rights, and government rights pertaining to software.
• Assist in due diligence and risk analysis linked to new programs, customers, partners, and contracting avenues.
• Create, implement, and continually enhance the government contracting compliance program.
• Offer practical advice on procurement integrity, organizational conflict of interest, ethics, mandatory disclosures, lobbying restrictions, gifts and gratuities, and other federal contracting prerequisites.
• Counsel on business systems and compliance standards relevant to government contractors, encompassing accounting, purchasing, estimating, property management, and associated controls.
• Collaborate with Finance and Contracts on cost and pricing standards, timekeeping, allowable costs, indirect costs, and audit preparedness.
• Support internal compliance audits, risk evaluations, investigations, and corrective measures.
• Track regulatory changes impacting defense contractors and convert new mandates into actionable guidance.
• Formulate policies, procedures, training, and internal controls.
• Collaborate on ITAR, EAR, export controls, sanctions, and considerations for foreign-person access.
• Advise on international business, foreign partnerships, technical data, and defense-related products and services.
• Coordinate where government contracting requirements overlap with export controls, security mandates, or personnel considerations.
• Act as a trusted legal advisor to executives and business leaders.
• Engage with teams during capture, proposal, contracting, and program decision-making processes.
• Balance legal and compliance demands with operational realities, identifying practical paths forward.
• Partner with external counsel and specialized advisors.
• Assist in developing scalable legal and compliance processes for a rapidly expanding defense technology firm.
• J.D. from an accredited U.S. law school and active membership in good standing with at least one U.S. state bar.
• Over 7 years of relevant legal experience, particularly in U.S. Government contracting and federal procurement law.
• Strong working knowledge of the FAR and DFARS, alongside experience interpreting and applying government contract stipulations.
• Experience advising defense contractors, aerospace firms, technology companies, government entities, or organizations operating within the Defense Industrial Base.
• Proven experience in drafting, reviewing, and negotiating government contracts, subcontracts, teaming agreements, and related contracts.
• Experience advising on government contracting compliance programs and internal controls.
• Comprehensive understanding of intellectual property and technical data considerations in government contracts.
• Ability to independently analyze complex regulatory issues and translate them into clear, actionable business advice.
• Exceptional judgment, communication, negotiation, and stakeholder-management abilities.
• Capability to handle multiple high-priority matters simultaneously, effectively navigating ambiguity and evolving requirements.
• High level of ownership, discretion, and integrity.
• U.S. Citizenship is required.
• Ability to obtain and maintain a U.S. Government security clearance.
• Preferred: Experience working directly within a defense technology, aerospace, autonomous systems, robotics, or rapidly growing government contractor.
• Preferred: Familiarity with Other Transaction Authority (OTA) agreements and non-traditional defense acquisition pathways.
• Preferred: Experience advising on ITAR, EAR, export controls, and international defense business matters.
• Preferred: Knowledge of government contract cost accounting, CAS, TINA/Truthful Cost or Pricing Data requirements, DCAA audits, and DCMA processes.
• Preferred: Experience with government rights in technical data and computer software, including SBIR/STTR data rights.
• Preferred: Understanding of cybersecurity and government contractor requirements, including CMMC, NIST SP 800-171, and relevant DFARS cybersecurity clauses.
• Preferred: Experience supporting internal investigations, mandatory disclosures, government audits, or regulatory inquiries.
• Preferred: Prior in-house experience within a rapidly scaling organization.
• Preferred: Active or previously held DoD security clearance.
