Global Head of Commercial Legal

This is a fully remote position, open to applicants in Massachusetts.

📋 Description

• Serve as the main executive legal advisor for VAST’s most critical and intricate multi-year software and infrastructure agreements.

• Create, execute, and continually improve global commercial contract templates, which include master software agreements, product-specific AI terms, and vendor procurement frameworks.

• Develop standardized fallback positions and tiered risk-escalation matrices for global go-to-market (GTM) and Revenue Operations teams.

• Tackle innovative legal issues related to parallel computing, extensive data ingestion, and real-time data processing.

• Ensure that commercial terms are compliant with international regulations, including the EU AI Act, GDPR, CCPA, and restrictions on cross-border data transfers.

• Hire, mentor, and lead a geographically dispersed team of commercial counsel and legal experts across North America, Europe, and Asia-Pacific.

• Construct a Legal Operations infrastructure for legal AI and Contract Lifecycle Management (CLM), incorporating automated triage, playbooks, and contract intelligence tools.

• Create enablement and training initiatives for enterprise sales teams.

• Set and assess team Key Performance Indicators (KPIs) related to contract volumes, cycle times, and negotiation friction points.

⛳️ Requirements

• A minimum of 12 years of legal experience, blending top-tier law firm training with substantial in-house leadership at a high-growth enterprise SaaS, deep tech, or AI infrastructure organization.

• Experience in guiding a commercial team through rapid international expansion or a pre-IPO transition is highly preferred.

• Exceptional expertise in drafting and negotiating complex software licenses, technology partnerships, and cloud infrastructure agreements with highly sophisticated counterparties.

• Strong interest in and clear comprehension of contemporary AI stacks, data storage architectures, GPU-accelerated environments, and enterprise data lifecycle management.

• Excellent capability to make swift and pragmatic business decisions in a dynamic regulatory landscape where established legal precedents are lacking.

• Juris Doctor (JD) from an accredited law school.
