Fractional Contract Manager, 1099

This is a fully remote position, open to applicants in United States.

📋 Description

• Review, negotiate, and redline NDAs, MSAs, and order forms for both Citrine and client documents.

• Act as the main point of contact for contracts within the go-to-market team.

• Develop and maintain a contract playbook that outlines standard and fallback positions based on clause type.

• Identify non-standard terms, flag them, and suggest whether to accept, negotiate, or escalate.

• Provide guidance to internal stakeholders regarding contract language and industry standards.

• Assist in evaluating contract lifecycle management and AI-driven review tools.

• Collaborate closely with operations and business leadership.

⛳️ Requirements

• Over 5 years of experience in contract management, preferably in-house at a SaaS or technology organization.

• Strong familiarity with MSAs, NDAs, SaaS licensing, and order forms.

• Capability to independently negotiate standard commercial agreements.

• Ability to make informed, risk-based decisions.

• Experience in creating contract playbooks, clause libraries, or standard position guidelines.

• Effective communication skills, with the ability to clarify legal concepts and rationale for redlines to business stakeholders.

• Self-motivated and comfortable working asynchronously with a distributed team.

• Nice-to-have: experience in enterprise B2B software, life sciences, or chemicals/materials sectors.

• Nice-to-have: familiarity with contract lifecycle management tools such as Ironclad, SpotDraft, Docusign CLM, or similar.

• Nice-to-have: experience using AI-assisted contract review tools.

• Nice-to-have: previous fractional or multi-client consulting experience.

• Preference for candidates in the Eastern Time Zone.
