This is a fully remote position, open to applicants in New York.
• Analyze realistic legal matters related to finance and real estate.
• Compare six anonymized legal deliverables labeled A–F against a standard comparator output.
• Execute five direct comparisons.
• Evaluate work products for accuracy, completeness, judgment, and practical utility.
• Review secured lending and credit facility issues, including credit agreement revisions, financing conditions, protections, covenants, requirements, and documentation.
• Assess project finance credit agreements and transaction documents, focusing on financing structures, contractual terms, risk distribution, and project-specific factors.
• Analyze structured finance / RMBS matters, closing exceptions, transaction documentation, and analyses related to closing.
• Review commercial real estate contracts and transaction documents, including rights, obligations, risk distribution, omissions, and drafting deficiencies.
• Examine tenant-favorable commercial leases concerning occupancy, financial terms, risk distribution, and operational rights.
• Review mixed-use development contracts, including development responsibilities, rights, dependencies, and commercial agreements.
• Identify significant legal errors, omissions, inconsistencies, and commercially relevant weaknesses.
• Offer structured preference decisions along with concise written explanations.
• Articulate legal and commercial factors supporting each decision.
• Adhere to project guidelines and evaluation criteria consistently.
• Licensed attorney.
• Significant professional experience in finance, commercial real estate, or related transactional practice.
• Strong background in one or more areas: senior secured credit facilities, project finance, structured finance / RMBS, commercial leasing, or mixed-use development agreements.
• Excellent transactional legal analysis capabilities.
• Ability to holistically assess legal work for accuracy, completeness, judgment, and practical utility.
• Proficient written English.
• Comfortable with comparing different legal strategies and articulating preference decisions.
• Capable of working independently according to detailed written instructions and deadlines.
• External AI tools are prohibited in project materials.
• Work must be performed without utilizing any confidential or proprietary information belonging to any employer, client, institution, or third party.
• H1-B and STEM OPT sponsorship is not available for this position.
• Fully remote work environment.
• Part-time independent contractor position.
• Estimated 30 hours of work throughout the engagement.
• Engagement subject to NDA and confidentiality obligations.
• Projects may be extended, shortened, or concluded based on needs and performance.
