Ethics & Compliance Manager

This is a fully remote position, open to applicants in United States.

📋 Description

• Manage and execute ethics and compliance pre-close due diligence as well as post-close integration for mergers and acquisitions, encompassing acquisitions, investments, and divestitures.

• Act as the Ethics and Compliance business partner for the LATAM region, excluding Brazil.

• Collaborate with Business Development, Legal, Regulatory, and business leaders in LATAM.

• Supervise outside counsel, consultants, auditors, budgets, engagement letters, and deliverables.

• Prepare risk-ranked due diligence evaluations and propose remediation plans for pre- and post-close scenarios.

• Participate in both internal deal-team meetings and external discussions with underwriters and relevant companies.

• Facilitate and monitor pre- and post-closing remediation actions.

• Generate reports and presentations for executive management and various audiences.

• Review draft transactional agreements and provide counsel to Legal on contract provisions.

• Inform Ethics and Compliance and other internal departments regarding completed acquisitions and investments.

• Analyze regulatory and legal compliance requirements to assess their impact on M&A transactions and regional operations.

• Manage, oversee, promote, and enhance the Ethics and Compliance program throughout LATAM, excluding Brazil.

• Develop and execute compliance policies, guidelines, educational materials, and communications.

• Advise LATAM operations on legal and regulatory compliance, risk management, and issue resolution.

• Lead regional Ethics and Compliance initiatives related to anti-bribery, fraud and abuse, marketing frameworks, data protection, and government contracting.

• Assist with risk assessments, compliance audits, cultural surveys, focus groups, and monitoring activities.

• Support internal investigations, inquiries from business partners and government entities, Helpline responses, and related resolutions.

• Ensure transparency, relevant reporting, and compliance with periodic training requirements are upheld.

⛳️ Requirements

• Preferred experience in ethics, compliance, and/or legal roles within organizations subject to pharmaceutical, medical device, or other pertinent healthcare compliance laws and regulations.

• Desired industry experience in Life Sciences or Healthcare compliance, particularly involving anti-bribery and corruption, customer incentives, marketing frameworks, data protection, and government contracting.

• Familiarity with foreign healthcare fraud and abuse laws, relevant data privacy legislation, and experience in transparency reporting is a plus.

• International work experience is preferred.

• Fluency in both English and Spanish is required.
