Director of Finance, Legal

This is a fully remote position, open to applicants in Poland, +5 more countries.

📋 Description

• Take full ownership of the fundraising process from start to finish, encompassing the investment narrative, financial modeling, data room preparation, investor pipeline management, negotiations, and finalization.

• Act as the main finance liaison for investors during the intervals between funding rounds.

• Create and implement entity, licensing, and tax frameworks in new markets, beginning with the UAE.

• Provide structural alternatives along with timelines, cost estimates, and strategic recommendations.

• Manage the group’s P&L, cash flow, and forecasting activities.

• Develop the financial model focusing on service versus product unit economics, R&D and intangible asset capitalization, and pricing and margin structure across various delivery locations.

• Lead the distributed Finance and Legal teams.

• Set standards and establish the company’s reporting schedule.

• Oversee multi-jurisdictional tax obligations and compliance matters.

• Manage the architecture of contracts, including MSA, IP assignment, and non-solicitation agreements.

• Ensure compliance with ISO 27001 and ISO 9001 certifications as well as GDPR regulations.

⛳️ Requirements

• Proven experience as a CFO or Head of Finance in a company with over 100 employees, in either a service or product-service sector.

• Demonstrated experience in scaling a business internationally across various locations and jurisdictions, with significant increases in headcount or revenue during tenure.

• Capability to reconstruct business economics in line with growth trajectories.

• Practical experience in capital raising through equity, debt, or strategic investments, with the ability to detail stages, sizes, investors, and personal contributions.

• Experience in establishing legal entities from the ground up in at least two jurisdictions, including decisions on structure, licensing, tax, transfer pricing, and banking arrangements.

• Proven ability to lead Finance in conjunction with Legal.

• Proficient in investor-level English, along with Ukrainian or Russian language skills.

• Must be based in Europe.

• Strong advantage: experience in IT outsourcing, staff augmentation, EOR, or ODC.

• Strong advantage: knowledge of IAS 38 and intangible asset capitalization.

• Strong advantage: experience in VC- or PE-backed companies and board reporting.

• Strong advantage: familiarity with UAE, DIFC, or ADGM regulations.

• Strong advantage: experience in M&A processes.
