This is a fully remote position, open to applicants in United States, +4 more locations.
β’ Develop and sustain acquisition and partnership pipelines that align with the company's strategic goals.
β’ Analyze market trends and competitive environments to pinpoint thesis-driven targets.
β’ Foster relationships with investment bankers, brokers, industry advisors, founders, owners, lenders, and investors.
β’ Create, uphold, and implement standardized methodologies for opportunity screening and scoring.
β’ Conduct initial evaluations, valuation models, deal models, scenario and sensitivity analyses, synergy assessments, and financing analyses.
β’ Oversee financial, legal, technology, leadership, culture, reputation, and counterparty due diligence processes.
β’ Convert counterparty findings into recommendations for retention, earnout, indemnification, and escrow.
β’ Assist in deal structuring and negotiations while preparing materials for leadership and the board.
β’ Monitor completed transactions against initial deal theses and report any discrepancies.
β’ Develop transaction and integration budgets, integrating acquisition impacts into forecasts and annual operating plans.
β’ Facilitate capital allocation analysis across competing cash uses.
β’ Manage post-close integration plans, including 100-day plans, coordination of workstreams, escalation of blockers, financial integration, and tracking of synergies.
β’ Identify and formulate strategic alliances, joint ventures, distribution, supply, and OEM agreements.
β’ Collaborate with the CEO, CFO, and CPO to maintain the company's 3-to-5-year growth strategy.
β’ Aid in debt and equity financing efforts, encompassing private placements, secondary transactions, and credit facilities.
β’ Develop corporate development playbooks, screening criteria, deal templates, and infrastructure for the pipeline.
β’ As the function expands, recruit, mentor, and develop team members.
β’ Over 8 years of combined experience in corporate development, investment banking, private equity, and/or transaction advisory, including direct origination experience.
β’ Proficient in conducting or coordinating due diligence across financial, legal, and human aspects of transactions.
β’ Capable of creating institutional-quality financial models from scratch, including three-statement, valuation, and scenario models.
β’ Experience in preparing and presenting analyses to executive or investment-committee audiences, defending recommendations when challenged.
β’ Familiarity with software or recurring-revenue business models and their governing metrics.
β’ Exposure to post-merger integration processes.
β’ Experience in structuring strategic alliances, joint ventures, or significant commercial agreements.
β’ Familiarity with debt or equity financing processes, including private placements, secondary transactions, or credit facilities.
β’ Experience contributing to multi-year strategic initiatives with senior leadership.
β’ Ability to maintain composure and effectiveness under pressure and friction.
β’ Possess a low ego and demonstrate persistence through repetitive, detail-oriented deal work.
β’ Display sound commercial judgment.
β’ Exhibits attention to detail and a commitment to quality and data integrity.
β’ Strong, concise, and organized communication and presentation skills.
β’ Excellent interpersonal and collaboration abilities across all management levels.
β’ Ability to handle confidential and market-sensitive information with discretion.
β’ Demonstrate integrity and accountability.
β’ Possession of an MBA would be advantageous.
β’ Experience with Big Four transaction advisory and/or in the software industry would be a plus.
β’ Prior experience as a founder or the first hire in a finance or corporate development function would be a significant advantage.
β’ Established network among bankers, brokers, or founders in the software sector would be a considerable asset.
β’ FP&A partnership or operational experience would be beneficial.
