This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee the review, drafting, redlining, and negotiation of Master Service Agreements (MSAs), service contracts, EPC agreements, Design-Build contracts, and various complex commercial agreements.

• Formulate negotiation tactics that safeguard Pearce’s commercial, operational, and financial interests while aligning with revenue, margin, and customer goals.

• Assess contractual obligations for EPC and Design-Build projects, including scope, schedule, performance duties, change management, payment milestones, warranties, and risk distribution.

• Recognize contractual risks and devise practical solutions in collaboration with Sales, Operations, Finance, Procurement, Safety, Billing, and other relevant stakeholders.

• Negotiate terms related to liability, indemnification, warranties, liquidated damages, SLAs, insurance, termination rights, payment terms and escalators, intellectual property, force majeure, and compliance obligations.

• Ensure adherence to delegation of authority and contract approval protocols.

• Create risk-assessment standards and approval processes for non-standard contract clauses.

• Establish and uphold contract risk reporting, metrics, and performance indicators.

• Manage contract renewals and inform business teams about forthcoming requirements and deadlines.

• Develop and sustain standard contract terms, templates, negotiation guidelines, and playbooks.

• Implement and enhance Contract Lifecycle Management (CLM) processes, systems, and workflow automation.

• Propel continuous improvement initiatives aimed at reducing contract cycle durations while preserving governance and risk controls.

• Lead, mentor, and develop contract professionals and supporting personnel.

• Provide training on contracts and negotiations to business stakeholders.


⛳️ Requirements

• A minimum of 10 years of experience in commercial contracts, contract negotiations, procurement, strategic sourcing, legal operations, or a related field.

• At least 5 years of progressive leadership experience.

• Proven experience in reviewing and negotiating intricate commercial agreements and MSAs.

• Strong comprehension of EPC and Design-Build contracts, including commercial terms, project delivery requirements, risk allocation, change orders, schedule obligations, warranties, and performance expectations.

• Experience in supporting multi-million-dollar customer contracts, construction projects, or service engagements.

• Strong grasp of commercial terms, contract risk distribution, and negotiation strategies.

• Demonstrated ability to collaborate with Sales, Operations, Finance, Procurement, Legal, and executive leadership.

• Excellent analytical, negotiation, communication, and stakeholder management abilities.

• Experience in developing contract standards, approval procedures, or risk management frameworks.

• Capacity to manage multiple intricate negotiations and priorities in a dynamic environment.

• Preferred: Experience in sectors such as energy, renewables, telecommunications, infrastructure, construction, engineering, field services, industrial services, or technology.

• Preferred: Experience negotiating contracts related to engineering, construction, procurement, or large-scale infrastructure initiatives.

• Preferred: Familiarity with Contract Lifecycle Management (CLM) platforms.

• Preferred: Experience in implementing contract management systems, workflow automation, templates, or contracting playbooks.

• Preferred: Certification such as CCCM, CPCM, or similar in contract management.

• Preferred: Knowledge of federal, state, and commercial contracting regulations.
