Corporate Legal Consultant – Attorney

This is a fully remote position, open to applicants in Romania.

📋 Description

• Prepare, evaluate, and negotiate commercial agreements, which include vendor contracts, client MSAs/SOWs, NDAs, partnership deals, and reseller contracts.

• Provide guidance on corporate structuring and governance within Uvation's multi-entity framework.

• Oversee regulatory compliance across various jurisdictions, encompassing GDPR, UAE data protection law, employment regulations, and sector-specific technology/infrastructure compliance.

• Assist with contractor and employment agreements in collaboration with HR, including cross-border contractor arrangements and worker classification risk assessment.

• Counsel on and resolve vendor/supplier disputes, invoice inconsistencies, and contractual escalations.

• Aid in legal matters related to fundraising, investments, or mergers and acquisitions as necessary.

• Coordinate with external legal counsel when local representation is needed.

• Keep corporate records, board resolutions, and statutory filings updated across entities.

• Proactively identify legal and regulatory risks and communicate them to leadership.

⛳️ Requirements

• Juris Doctor (JD) degree.

• Active bar admission/license in the UAE and/or a European jurisdiction.

• At least 5–8 years of experience in corporate/commercial law.

• Ideally, experience either in-house or at a corporate law firm serving technology/infrastructure clients.

• Proven experience with cross-border contracts and compliance across multiple jurisdictions.

• Familiarity with GDPR and UAE data protection regulations.

• Experience in advising on contractor versus employee classification issues across different jurisdictions.

• Prior experience in the technology, cloud infrastructure, or AI/GPU sectors is preferred.

• Experience using Deel or similar employer of record/contractor management platforms is advantageous.

• Capability to operate independently across jurisdictions with minimal local precedence.

• Skill in identifying risks early and articulating them in clear, understandable language.
